论公司内部制度与法律制度的衔接

公司内部制度对国家法既对接又自治,具有从属和自主双重属性。公司治理制度和各职能部门管理制度受到不同程度的法律影响,并根据管辖事项对市场和社会基本秩序的关联度,大致可分为紧密型、适度型和松散型三种衔接模式。作为商事自治规则的公司内部制度与正式规则的法律之间的这种勾联性,突破了传统民间社会规范与国家法的二元结构,形成了社会规则大系统中各自独立而又互相联动的纵向一体化新范式,折射出法律与社会互相作用的双向效果。

On the Linkage of Corporation Inner Regulations and Legal System

As to the national laws,the corporation internal regulations bear the dual characteristics of both subordination and autonomy.The corporation governance rules and various departmental rules are affected by the laws in different degrees.According to the relation of the jurisdiction subject to the basic market and social order,the linkage can have three models: tightness,moderateness and looseness.The linkage between the internal regulations as commercial autonomous rules and the laws as the formal rules breaks through the dualistic structure of the traditional folk norms and state laws.There comes into a formation of a new paradigm: the respectively independent and mutually related longitudinal relationship in the overall system of social rules,which reflects the two-way effect in the mutually interactive relationship between law and society.
