| 摘 要： | 由于各种原因，当事人在订立和履行合同时，时常对合同内容产生歧义，进而引起纠纷。合同解释是法院或仲裁机构对合同中有争议条款的认定说明。依据我国《合同法》的立法原则和宗旨，就合同解释权、解释范围、解释原则等相关问题进行了探讨。其中，对合同解释权归属，明示、默示和格式条款解释意义以及解释原则的适用条件等，提出了个人观点，意欲丰富合同解释之理论。
