| 摘 要： | 受传统经济体制影响,中国《公司法》对小股东权益的保护一直有所欠缺。对大股东与小股东的概念进行界定,概括中国小股东权益受侵害的表现,借鉴国外公司法的有益经验,提出完善中国小股东权益保护制度的对策。
