社会化契约:经济法的理论进路

私法领域中的契约分为个别性契约和社会化契约。个别性契约是特定当事人之间就特定的事项达成的协议,只对特定的当事人有约束力,由传统的民法来调整;社会化契约是众多契约当事人之间对过去、现在或者将来的长期安排而产生的各种关系,其当事人是不确定的群体,不考虑将来不确定的事项,契约不通过承诺达成。从本质来说,所有的契约都是社会化契约,只是某些契约可以通过忽略若干条件,简化为个别性契约。社会化契约与社会契约显著不同,前者是经济法调整的对象,是国家经济职能的体现,授予国家的是代理权;后者是国家政治权力的来源,让渡给国家的是部分自由权。

Socialized Contract: Theoretical Approach of Economic Law

Contracts consist of discrete contract and socialized contract in private law.Discrete contract means that particular parties reach an agreement on the particular objects and it only binds the particular parties.It is regulated by classical civil law.Socialized contract does not try to take account of all future contingencies but is a long-term arrangement in which past,present and expected future personal relations among the contractual parties matter.In fact,all contracts are socialized contracts,but some of these are looked upon as discrete contracts through ignoring some conditions.Socialized contract is totally different from social contract.Socialized contract is the basic of economic function of a state and it vests agent right with the state,while social contract is origin of political power of the state and it release some of the civics' freedom right.Socialized contract is regulated object of economic law.
