| 摘 要： | 本文就中国上市公司面临的经营业绩不振的问题，对经理人业绩的三项决定因素──能力、激励和环境进行了剖析，并在此基础上具体分析了核心环境因素──公司治理结构同经理人业绩之间的内在联系；最后，根据两者相互依存的关系特点，本文从业绩决定因素的角度，结合公司治理结构的优化问题，对提高上市公司业绩的出路问题进行了探讨。

| Abstract: | In view of the poor performance of China's share-quoted companies, the author analyzes the three determinant factors, i. e. ability of the executives, incentives and environment, and based on this, studies the central factor: the inner relationship between the structure of corporate governance and executive performance, which depend on each other. The author also probes ways to better the performance of share-quoted companies from the angle of determinant factors and by discussing the optimizing of the structure of corporate governance. |
