The Analysis of the State of the Allocation of Internal Control Rights in Corporate,Rent-seeking Principals and Governance Mechanism

The paper penetrates into the allocation of internal control rights, which is the foundation of effective corporate governance. It considers the control rights not only bringing from ownership, but also to the control rights from human capital. It reviews the state of control rights of shareholders, the board of directors and general managers in a whole frame, and the relation among rights' owners as well, and then analysis the agents of rent-seeking and important governance mechanism to different allocated modes according to different control state in boards. It hopes to annotate the relationship between control rights and governance mechanism in depth, and give some revelation to the governance of listed companies in China.
