| 摘 要： | 现行公司资本制度因设计上的缺陷及运行平台的缺乏，在社会信用缺失的现阶段，导致公司设立成本高、虚假出资、保障债权人利益功能减弱等问题普遍存在。建议修改并完善法定资本制度，降低门槛，强化信用机制，健全民事责任体系。

| Abstract: | Because of the defects of design in the current company's capital system and lack of operational platform in the present stage short of social credit, there widely exist such problems as high cost of setting up a company, false investment, weakened creditors' interest insurance, etc. Accordingly, this thesis proposes that the legal capital system be revised and improved with easy access, the credit mechanism strengthened, and civil responsibility system perfected. |
