| 摘 要： | 股份合作制被认为是乡镇企业以及国有中小型企业改革的目标模式，但股份合作制存在着决策权平等原则与风险分配不平等之间的矛盾，存在着搭便车等行为，因而股份合作制只能是一种过渡性企业制度，其发展方向是股份制企业。

| Abstract: | Cooperative stock system has been regarded as the target mode of both village and township enterprises and the small and medium-sized state-owned enterprises. However, there is a contradiction between the fair principle of decision-making power and the inequality of risk distribution in the cooperative stock system, leading to the phenomena of free rides. Therefore, the cooperative stock system can only be a transitional enterprise system which will develop in the direction of share-holding enterprise system. |
