| 摘 要： | 合伙企业是一种典型的人合企业，合伙人之间形成的财产共有关系、合伙经营关系和连带责任关系，决定了合伙企业的权利能力和行为能力都没有完全与合伙人分离。由于合伙企业本身没有独立的法人资格，没有相应的组织机构，法律便赋予每个合伙人平等地参与合伙企业事务管理的权力，从而形成了合伙企业独特的以个人为本位的内部权力配置结构。
