| 摘 要： | 本文研究了董事会在公司战略决策中的作用,董事会所具有的独特决策技能、知识与提高公司战略决策质量的关系以及董事会在发挥群体决策优势中的贡献。研究结果表明董事会不是“橡皮图章”,公司应充分地利用董事会的认知资源来为公司创造价值。

| Abstract: | This paper studies the roles played by director board,relationships between unique techniques and knowledge held by directorsand complex decision strategy of a company, and contributions madeby director board in group decisions. The results show that directorboard is not a rubber stamp and a company should take advantage ofthe cognitive resources of directors to create vales for the company. |
