| 摘 要： | 在二元股权结构下,国有法人股向外资转让仅仅使国有法人股的所有权发生了转移,并没有从根本 上解决国有法人股与流通股二元股权割裂的问题,一股独大及由此带来的非流通股东侵占流通股东利益的 问题仍然存在。解决这一问题的关键是要尽快实现国有法人股在二级市场的流通。

| Abstract: | In the binary share structure, the state-owned and corporate shares' transferring to foreign capital only transferes the ownership, but does not solve the share division between current and un-current shares. One kind of share domination and the problems brought by it still exit. The key point to solve this problem is to make the state - owned and corporate shares be current as soon as possible. |
