农村信用社法人治理结构探讨

随着改革的推进，农村信用社法人治理结构框架随之深化，但仍不完善，成为制约其进一步发展的“瓶颈”。本文结合农信社工作实际，通过对农信社法人治理结构现状及形成原因等方面进行分析，并就如何深化、细化农信社法人治理结构改革提出了一些建设性意见：优化股权结构，提高社员参与意识，真正做到所有者到位；逐步淡化政府“行政干预”，完善农信社市场主体地位；省联社明确自身定位，让权于基层农信社；设置科学的激励约束契约，消除和限制各级经营者的“逆向选择”；完善农信社内外信息披露制度。

On the Structure of Corporate Governance of Rural Credit Cooperatives

The reform of rural credit cooperatives~ framework of corporate governance structure is deepening, but as a ＂bottleneck＂restricting its further development,it is still not perfect. Based on the actual work of the rural credit cooperatives, the present situation of the corporate governance structure of rural credit cooperatives and the reasons for its formation are analysed. And then some constructive proposals for deepeing and refining its corporate governance structure reform are put forward, such as. optimizing the structure of the share holders ＇rights, so as to raise awareness of the participation of members and make owners truly in place;play down the government ＂interference＂ ,so as so improve its market position; making clear the provincial association＇s own position, so as to give rights to the grassroots;setting up incentive and restrictive contracts and eliminating restrictions of ＂adverse selection＂ on operators at all levels ;and improving the disclosure of information both within and outside the system.
