民事信托与商事信托区分之质疑

为了探究民事信托与商事信托之区分在我国的现实意义，文章归纳了民事信托与商事信托区分的不同标准并对其区分意义进行了分析，认为英国、美国、法国区分商事信托与传统的无偿信托，其意义主要在于对商事信托适用不同于传统信托法的规则。在我国这种区分并无实质意义，因为我国并无衡平法制度，所能移植的只有商事信托制度。对此，可以从信托目的、受托人、受益权、信托财产等方面塑造出符合现实需要的信托制度，而无需拘泥于英国、美国、法国中传统的无偿信托的规则与观念。

Questioning the Division of Civil Trust and Commercial Trust

In order to research into the realistic meaning of the division of civil trust and commercial trust,the author sums up the different standards to distinguish the civil trust and the commercial trust and analyses the meaning of this distinction.The author holds that the meaning to distinguish the commercial trust and the traditional naked trust in the Anglo-American law is to apply different rules to the commercial trust.However there is no essential meaning to distinguish the commercial trust and the civil trust in our country,since there are no rules of equity in our legal system and what we can introduce into is the system of commercial trust.We can shape the trust system in the aim of trust,trustee, beneficial power and trust property to meet our need other than being limited in the rules and idea of the traditional naked trust of the Anglo-American law.
