| 摘 要： | 经济人具有利己的"根本属性"和遵从制度安排的"制度属性"。在现代公司治理中,同样存在具有经济人属性的委托人与代理人之间的博弈。因此,有效的"委托-代理"机制应充分体现经济人属性,从而使得公司治理具有有效性。

| Abstract: | Economic man has the attribute of egoism and complying with institution. In governance of modern company, there is the game between client and agent, both have the attribute of economic man. Therefore, valid trust-agent mechanism should fully represent the attribute of economic man, for that the company will have validity in governance. |
