| 摘 要： | 本文对现代公司制度的法理基础和内在精神进行了初步探讨，认为，团体人格观是现代公司制度的本体论基础，制度优越观是现代公司制度的认识论基础，社会本位观是现代公司制度的价值论基础，利益均衡观是现代公司制度的立法论基础。通过以上分析，旨在我国建立现代企业制度提供法理依据
