| 摘 要： | 现代企业制度在带来规模经济、专业化分工、资本与技术的结合等诸多好处的同时,也使得所有者必须面临其权益被经营者侵害的风险。为了防范现代企业制度中委托人面临的风险,必须建立有效的法人治理结构,实现经营者的市场化。

| Abstract: | The current business institution has brought up economy of scale,division of specialties,combination of capital and technology,and many other benefits.Meanwhile,it also results into the risks that agencies might misappropriate the interests of owners.In order to take precautions against those risks to principals,that is to say an agency might misuse the rights and interests of its principal,it is supposed that firstly a good corporate body should be established,and secondly the market of agencies is brought into being. |
