| 摘 要： | 合伙是市场经济客观存在的社会现象，具有悠久的历史和强大的生命力，它与自然人和法人明显不同。但是在传统的民商基本法中，并不承认合伙的独立主体地位。本文认为，既然合伙与自然人、法人具有不同的特征，有其独立存在的经济基础和理论依据，就应当对传统民商法主体资格要件的理论进行修正，而不是相反。因此应当承认合伙的独立民商主体地位，以适应社会需要，完善和发展民商立法，促进市场经济的发展和社会的文明进步。

| Abstract: | Partnership is a social phenomenon under market economy and has a long history and powerful life. It is quite different from natural person and legal person. But in traditional basic commerce law, the independent subject position of partnership is not acknowledged. This essay holds that because partnership has different characteristics from natural person and legal person, and has independent economic basis and theoretical support, the traditional items on subject position qualifications should be modified to meet the needs of social development, to promote the prosperity of market economy. |
