| 摘 要： | 法人能否被赋予普通合伙人资格，一直以来在学界是个颇受争议的话题。新修订的《合伙企业法》与《公司法》第15条的规定也不尽一致，实务中如何适用法律就成为一个亟待解决的问题。基于理论分析，借鉴国外成熟的立法经验以及中国快速发展之自由化、多元化、开放化的市场经济要求，认为，应当赋予法人作为普通合伙人资格。

| Abstract: | Whether legal persons can be given the qualification for general partners has long been a controversial topic in the field of law. The newly revised Partnership Law in China is not consistent with the Article 15 of Company Law, so the practical application of the law remains a problem to be solved. Therefore, based on the theoretical analysis, referring to the mature legislative experience of foreign countries, and to meet the requirements of a free, multiple, and open market economy in fast-developing China, this paper holds that legal persons be endowed with the qualification for general partners. |
