| 摘 要： | 家族企业是一种“嵌入”于家庭组织结构及其治理机制之上的特殊企业契约。从家族的契约性质出发,分析中小型家族企业所有权与经营权合一时产生的代理问题,中小型家族企业因其自身特点宜采用包括关系治理、伦理治理与亲情治理在内的多重契约治理模式。

| Abstract: | Family enterprise is a special enterprise contract which is inserted upon family organization structure and governance mechanism.Beginning with the contractual nature of family,this paper attempts to analyze the agency problems caused by the situations when proprietorship and management right are syncretic.In accordance with the characteristics of middle & small-sized family enterprises in China,the authors finally propose multiple contractual governance patterns including relationship governance,ethics governance and relative governance. |
