我国外资并购反垄断规制研究述评

随着近年来外资并购行为在我国的不断出现,在某些行业甚至出现了外资独大的情况。在我国竞争法立法水平不断提高、《外垄断法》出台并已正式施行的背景下,我国学者对外资并购的各方面利弊进行了比较全面的研究,并对外资并购的反垄断规制和我国外垄断法律体系的完善提出了建议。从外资并购的含义、外资并购与反垄断规制的必要性、我国外资并购反垄断规制存在的问题及完善三个方面评述了我国对外资并购的反垄断规制研究。

Review of Antitrust Regulations for China' s Foreign Capital M & A

With the foreign capital MA activity in recent years emerging in China,the situation of foreign capital dominance appears in some sectors.Along with the improvement in legislation for competition and the promulgation of ＂Antitrust Law＂,Chinese scholars study on the pros and cons of foreign capital mergers and acquisitions from various aspects,and give recommendations for the antitrust regulation and improvement of the antitrust regulation legal system.This paper reviews researches on antitrust regulation for China＇s foreign capital MA from the following three aspects： the meaning of foreign capital MA,the necessity of foreign capital MA and antitrust regulation,and problems and solutions of antitrust regulation.
