公司资本主义原则与我国公司法

公司资本被认为是公司法律制度中最重要的制度,我国公司法对公司资本制度虽然作出了较为明确的规定,但是,此种规定不符合现代公司法的发展潮流。废除资本确定主义原则,确立资本授权主义原则是我国公司法未来发展的方向。因为公司资本授权主义原则可以起到便利公司经营、加强公司董事会的核心法律地位以及促进商事经济繁荣的作用。

Principles of Corporate Capitalism and Chinese Corporation Law

The corporate capital system is perceived as the most significant of the corporate legal system. Though the stipulations of the system are well defined in Chinese corporation law, they do not keep abreast of the trend of contemporary corporation law. Chinese corporation law should follow the trend of the replacement of the principle of capital determination by the principle of capital authorization because the latter principle may simplify management of a company, strengthen the core legal position of a company's board of directors and promote commercial prosperity.
