| 摘 要： | 法人制度对于社会经济的发展是非常重要的。特别是公司法人是市场经济中不可或缺的主体要素,法人的独立人格又是法人制度存在的灵魂要素。法人制度在我国改革开放和市场经济建设中发挥积极作用,但是也大量存在着假借公司法人之名的侵害公共和他人利益等行为。当法人格被滥用时,对法人格的否定就成为必要。文章以关于法人本质的实在说和拟制说为分析的双重视角,通过剖析法人拟制的法技术操作的“分”与“合”的过程,以法益平衡的要求来阐明法人格的否定的法理,以及适用法人格的否定在我国应当注意的问题。

| Abstract: | The legal person system is of great importance to the development of social development.Corporation legal person is the principal element in the market economics.The independent personality of legal person is the soul element in the legal person system.China's legal person system plays an active role in the reforming and opening process and also in the construction of market economics.But many behaviors,harming the public and individual's benefits do exist,especially by name of corporation legal person.The legal corporate fiction becomes necessary when the legal person is misused.This paper takes a point of view of the positivism and legal fiction of legal person essence.It makes an analysis of the division and merger process of legal fiction.Then it presents that the law of legal fiction according to the legal benefit balance.Some questions worthy of attention are also mentioned in the legal fiction in China. |
