| 摘 要： | 我国上市公司资产重组的历史虽不足十年 ,但在调整经济结构、完善市场经济体制方面起到了积极作用。然而 ,许多上市公司一味地将重组当作“题材”在二级市场炒作 ,忽视了对其风险的研究 ,使得我国上市公司的重组绩效并不明显。本文通过分析我国上市公司资产重组的概况 ,指出资产重组中的风险 ,并提出了相应的防范措施。

| Abstract: | Although the history of rearrangement of assets of listed company is no less than ten years, it has played a positive role in adjusting economic structure and perfecting the market economic system. However, the excessive propagation of rearrangement in the secondary market and ignorance of the study on its risks make the rearrangement performance unconspicuous. The risks in rearranging of assets of listed company through analyzing the general situation of rearrangement of assets are pointed out and the corresponding precautionary measures are put forward. |
