我国独立董事制度存在的问题及对策思考

独立董事制度对完善上市公司法人治理结构有着十分重要的作用。但我国独立董事制度自建立以来所发挥的作用却十分有限。本文系统分析目前中国上市公司独立董事制度存在的问题，提出完善独立董事制度的对策思考。认为，独立董事制度能否在我国建立并真正发挥作用，关键在于要有完善的法律体系予以规范，良好的公司治理文化予以配合，否则，独立董事制度只会成为大股东控制公司的遮羞布。

The Solutions to the Existing Problems in the Independent System of Directors

The independent system of directors is very important to the perfection of the managing structure of the legal person in one company appearing on market. But the function of the independent system of directors has been quite limited since it was set up. The thesis analyses the existing problems of the independent system of directors in China's companies appearing on market and provides solutions to the perfection of it. It is thought that the keys of whether the independent system of directors can be put into full play are the standard of perfected legal system along with excellent company- managing culture. Otherwise, the independent system of directors will only be the covering of major stockholders who control companies.
