| 摘 要： | 风险投资业是一个信息高度不对称、营运风险很高的行业。风险资本组织适应这一特点,也应该有其特殊的组织形式。文章在总结前人在这一领域研究成果的基础上,应用信息经济学理论分析了有限合伙制这一组织模式的运营优势,认为有限合伙制的组织模式在风险投资运作中最为有效,同时认为这种模式也应该是我国风险资本组织模式创新的方向。

| Abstract: | Venture investment is an industry of high asymmetry information and operation risks, to which venture capital organization caters. This paper reviews the results of relevant research on this issue and applies the theory of information economics to analyze the advantages of limited partnership, and contends that it is the most effective model in venture capital operation and advices Chinese counterparts to follow suit. |
