基于连锁董事对公司治理与企业绩效的影响研究

连锁董事是指同一董事同时在两家或多家企业的董事会中任职。这一现象在我国上市公司中极为普遍,然而,我国学术界对其展开的研究却极其匮乏。本文以我国转型时期经济环境为背景,以我国上市公司间的连锁董事现象为线索,通过对连锁董事的公司治理与绩效影响进行理论和实证研究,验证和拓展了公司治理理论。

Research into Corporate Governance and Performance Impact of Interlocking Directors

Interlocking director is the same director to serve in the board of directors of two or more enterprises.This phenomenon is very common in China’s listed companies,however,the undertaken studies of China’s academic circles is extremely scarce.Taking economic environment in China’s transition period as the background,the phenomenon of interlocking directors between the listed companies in China as a clue,this paper conducts a theoretical and empirical research into corporate governance and performance impact of interlocking directors,thus to validate and expand the theory of corporate governance.
