| 摘 要： | 在中国上市公司初步建立起现代企业制度后,董事会治理已经成为公司治理的核心问题。本文从上市公司董事会模式、结构及组织体系等方面,介绍和分析了外国公司董事会的治理情况,分析了我国上市公司董事会存在的六大问题,提出了健全和完善我国上市公司董事会的对策:选择合适的董事会模式、改造董事会结构、完善董事会制度和治理机制,改变国有股"一股独大"的股权结构。

| Abstract: | The board of directors' governance is a crucial thing when the corporate-in-list in china has established contemporary institution. This thesis introduces and analyses something on the board of directors' governance in external corporate in pattern, composition and organized system etc. It points out that there are six questions on the board of directors' governance in corporate-in-list in our country; we should institute the pattern of the board of director, remold the composition of the board of director, improve the moving and governance setup of the board of director. We should change the composition of share in corporate-in-list in our country. |
