| 摘 要： | 商法是现代发达国家法律体系中最基本、最重要的法律部门,弄清其基本理论存在的问题,是关系到它的生存、发展和繁荣的关键.文章针对商法的调整对象、商法是否属于民法特别法和商法在立法、执法等方面存在的理论问题,进行理论和实际相结合的探讨,目的是期盼健全和完善市场经济的交易规则,促进我国商法的现代化和国际化.

| Abstract: | The commercial law is the most basic and important law department in the legal system of modern developed country.Clarifying the existing problem of its basic theories is the key that is relevant to its existence,development and prosperity. In order to perfect the trade rule of market economy and promote the modernization and internationalization of the commercial law of our country,this paper holds a combined discussion of theory and reality about adjusting ubjects of commercial law,whether the commercial law is among the special law of the civil law and the theoretical problems of commercial law existing in legislating,enforcing,ect. |
