试析新公司法框架下的中小股东表决权保护制度

加强中小股东表决权的保护对于促进股东平等、公司治理结构优化、证券市场的健康发展具有重要意义。我国新公司法在中小股东表决权的保护上有了很大发展,但仍囿于对股东形式平等的关注,未能对原有的表决权制度本身予以突破,难以实现对中小股东表决权的有力保护。进一步完善表决权行使机制和方式应为今后立法的方向。

Study on System of Protecting Minority Stockholders' Voting Right in New Corporate Law

For stockholders' equality,optimization of corporate governance and security market's healthy development,it is important to protect minority stockholders' voting right.Great development of protection of minority stockholders' voting right is found in our country's new corporate law.But new corporate law pays too much attention to equal formality of stockholders' right to break through intrinsic shareholder's voting right system.So minority stockholders' voting power isn't effectively protected.As a result the mechanism and mode of exercising voting power should be improved in the future.
