商事登记程序作为商事登记制度中的重要组成部分,是整个商事登记制度的核心。本文在梳理商事登记程序制度功能的基础上,剖析了我国商事登记程序立法的现存问题,重点探讨了我国商事登记程序立法的完善思路,具体包括改革前置审批程序,试行后置审批制度;确立形式审查原则;建立注册官制度;推行电子政务,实行登记管理网络化;构建登记公示制度;建立瑕疵登记的补救机制;明确登记行为的法律责任。

Legislative Improvement of Procedures of Commercial Registration in China

Commercial registration,as an important part of commercial registration system,is the core of the entire commercial registration system.This thesis,based on the research of system function,further analyzes the current legislative conditions.And finally it puts forward a concrete and perfect idea of improvement on legislation of procedures of commercial registration: to reform the previous examination and approval procedures and try out post examination and approval principles;to establish its formal examination;to establish register officers system;to carry out the electronic administration system and turn registration management into network;to form registration promulgation system;to establish the remedial system of defeat registration and clarify the legal responsibilities of registration behavior.
