| 摘 要： | 虚拟企业并非传统意义上的企业，也非联营，而是一种组织虚拟、功能虚拟及员工虚拟的特殊联盟组织，立法应赋予其非法人型企业的法律地位，并可比照企业集团的形式和基本要求对其进行工商登记管理。虚拟企业成员依据其契约安排确定其关系，虚拟企业的核心成员应对虚拟企业的法律责任承担补充清偿责任。

| Abstract: | Virtual corporation is not a traditional corporation or a joint-venture,but a special confederation with virtual organization and virtual employees.Virtual corporation needs to be given a special legal status and registered similarly as a corporation group.The relationship of the members subjects to the contract among them,and the core members should burden the supplement liability for virtual corporation's legal liability. |
