证券市场投资者法律保护现状与发展思路

不同国家法律及其实施的差异很大程度上影响了投资者权益以及公司治理体制。作者从法律角度来理解公司治理及其发展的诸多问题 ,从我国对投资者的法律保护及其上市公司治理机制的现状来看 ,我国投资者保护的基本法律框架已经建立起来 ,但无论是立法还是执法上都还未能形成高效的保护投资者权益的法律体系 ,这一缺陷直接体现在公司治理结构的不完善。对此 ,作者提出成立维护投资者权益专业机构 ,将其作为诉讼主体来加强法律制度的可操作性

Investor protection of security market and its way of development

The difference of the law and its enforcement across countries affects rights and interests of investors and mechanism of corporate governance to a great extent. In this paper, the authors try to explain the problems of corporate governance and its development from legal angles. The status quo of investor protection and mechanism of corporate governance in our country is that, fundamental legal frames of investor protection have set up, but there are not effective system both the law and its cnforcement, these shortcomings embody directly faultiness of corporate governance. On the base of above, in this paper the authors argue that professional organization for protecting rights and interests of investors, which should make the operation of legal rules easier as a litigant main body, must be found.
