我国上市公司法人治理结构的缺陷和完善措施

公司法人治理结构是公司制的核心。目前,我国上市公司存在着“一股独大”、股权结构不合理、“内部人控制”、监事不监事等弊端,导致了“关联交易”、庄家横行、侵害中小股东利益等现象的发生。本文从我国上市公司存在的问题入手,提出了完善我国上市公司治理结构的具体措施。

Problems and Improvements of Corporate Governance of Our National Listed Companies

Corporate governance is the core of corporation. At present, the listed companies of China are presented with some problems such as "do minant capital shares apportionment", irrational structure of stock rights,"internal person controlling", powerless supervisors, which some phenomena brought such as "connected enterprises transaction", banker infestation, aggrieve the benefits of secondary and small stockholders. This article starts from those problems lying in the listed companies, and then put forward some material measures how to improve corporate governance of our national listed companies.
