| 摘 要： | 中国独特的产权结构、法律法规的缺陷、人才制约、滞后失真的信息披露以及文化的无形阻挠构成了独立董事制度难以破解的障碍逻辑。独立董事制度在我国有效运行的根本途径是依托一个好的制度平台 ,并通过制度创新来完善现代公司治理结构

| Abstract: | The Chinese special property structure, the disfigurement of law,the restriction to talent,the lag and untrue information publishing system and invisible obstacles of culture compose solid impedient logic.In this article the writers figure out that the foundamental measures in establishing an independent director system are to conduct a good institutional platform. With institutional innovations we can improve the efficiency of corporate governance. |
