| 摘 要： | 本文认为风险投资中的风险管理是一个系统工程，对于正处于转型期的中国风险投资而言，一个完整的风险管理体系既包括风险投资企业、风险企业和高新技术项目，也包括资本市场、中介服务机构以及政策法规等外在环境，而且相互作用共同完成对风险的有效管理．在此基础上本文深入分析并提出了风险投资企业、创业企业以及资本市场、中介服务机构的可供选择的制度安排，以及政府所应提供的政策法规安排。
