产品市场竞争与现金持有——基于高管变更的调节效应   总被引:2,自引:0,他引:2  
以产业组织、公司财务和公司治理理论为基础,利用不同数据窗口下中国制造业上市公司的平衡面板数据,采用固定效应模型和广义最小二乘法分析产品市场竞争和高管变更与现金持有之间的长期关系.研究结果表明,相对于产品市场竞争的治理效应,产品市场上的掠夺风险对现金持有的影响占主导地位,使公司的现金持有随产品市场竞争程度的增加而呈现上升的趋势,但是当公司发生高管变更时,产品市场竞争对现金持有的影响更多地凸显为代理成本动机下的现金减持行为;高管变更在一定程度上对变更后续年度产品市场竞争与现金持有之间的关系具有显著的调节作用,使产品市场上掠夺风险对现金的正向影响减弱,公司的现金持有相应呈现降低的趋势.实践表明,有序的市场竞争、完善的经理人市场以及公司内部有效的治理机制对公司制定科学的财务决策具有重要的意义.关键调:产品市场竞争;高管变更;现金持有;调节效应  相似文献

以流动性偏好理论为基础,通过理论模型推导出不同融资约束的公司会依据其现金流波动性进行有差异的现金持有行为决策;以2001~2006年间4 285个公司年数据为样本,实证检验并分析了中国上市公司融资约束、现金流波动性和现金持有量之间的相互关系.结果表明:在中国资本市场,融资约束公司的现金流波动性高于非融资约束公司,而现金持有量却低于非融资约束公司;前者现金持有量与现金流波动性显著正相关,而后者无显著相关性.  相似文献

20世纪90年代末,国外企业出现持有大量现金与现金等价物的现象,为什么企业持有大量的现金与现金等价物,以及企业持有现金的后果等问题,逐步得到国外学者的关注而成为一个研究的热点,国外学者主要从权衡理论、信息不对称理论、公司治理机制,以及投资者的法律保护程度等方面展开现金持有量的研究.由于我国的经济与制度环境同国外有很大差别,我国证券市场的发展处于一个转型时期,内部人控制严重,资本市场还不完善,国外的实证结论直接移植到国内缺乏说服力.上市公司现金持有量的影响因素也逐步得到国内学者的关注,但我国的研究还处于起步阶段.本文在理论分析与文献梳理的基础上,以我国部分上市公司为样本,检验了我国上市公司的特质性因素和公司治理机制对公司现金持有量的影响.研究结果表明,公司现金持有量与财务杠杆、银行性债务、净营运资本负相关,与公司的投资机会正相关,权衡理论和优序融资理论得到了经验支持;国有股、董事会规模、股东保护程度与现金持有量负相关;经营者持股与现金持有量正相关;股权集中度、独立董事、以及领导权结构并没对公司现金持有量产生显著影响.本文从现金持有量的角度为我国上市公司治理的不完善性提供了证据,需要我们从股权结构、董事会特征等方面进一步完善公司治理机制,规范公司的现金持有行为.  相似文献

本文以我国上市公司高额现金持有和企业集团迅猛发展为背景,从融资约束与代理冲突两个维度,考察了集团内部资本市场运作对成员企业现金持有量的影响,以及在不同内部治理环境下两者对现金持有量所呈现出的迥异的作用机理。以A股上市公司2007-2010年的数据为样本,本研究发现:(1)集团内部资本市场运作通过融资约束与代理冲突这两条路径影响成员企业的现金持有量。综合来看,集团成员企业的现金持有量高于独立企业。(2)在不同的内部治理环境下,预防性动机与代理动机对现金持有量影响程度的大小也不同。当代理问题较严重时,代理动机导致的现金增持程度大于预防动机减弱导致的现金减持程度,从而表现为与独立企业相比具有较高的现金持有量。(3)代理问题较严重的集团成员企业所拥有的实际现金持有量向目标现金持有量的调整速度较慢,调整半周期较长。上述研究结论丰富了委托代理理论与公司财务理论的相关研究成果,并且从集团内部资本市场运作的视角提供了治理机制如何影响公司财务决策的新证据。  相似文献

本文采用我国制造业上市公司2001年-2007年共2401个公司年的平衡面板数据,利用行业间竞争、行业内竞争两个维度的产品市场竞争变量,实证分析了我国制造业上市公司产品市场竞争对现金持有水平的综合影响。实证结果显示,对于所有制造业上市公司来说,产品市场竞争对公司现金持有存在显著的掠夺风险效应。在考虑公司融资约束的情况下,产品市场竞争对公司现金持有的掠夺风险和代理成本两种竞争效应被有效区分开来。融资约束公司表现为显著的掠夺风险效应,非融资约束公司则表现为显著的代理成本效应。这些研究结论不仅丰富和补充了产品市场竞争与公司现金持有之间的相关研究,也为公司实施积极的现金流风险管理和持有现金的高效利用提供了实践支持。  相似文献

本文从投资机会和融资约束视角分析了地方政府治理水平影响企业投资行为的机制,认为地方政府通过提供高质量的公共治理水平,帮助企业获得更多的投资机会和融资渠道,扩大企业投资规模,提高投资效率。以我国2005-2007年间上市公司为研究样本,本文实证检验的结果表明,较高的地方政府治理水平会提高公司的资本投资规模;政府治理影响企业资本投资与投资机会的敏感度在民营企业中更为显著,政府治理对国有企业资本投资的影响随着实际控制人的行政级别提高而降低。进一步研究发现,政府治理能够降低企业的融资约束,提高企业投资效率。  相似文献

通过利用2001-2008年上市公司财务数据,采用GMM动态面板分析方法,研究了公司持有现金和债务比例的相互关系以及两者随现金流变动的变化规律。尽管总体样本表明,我国上市公司都存在显著的正的现金-现金流敏感性和负的债务-现金流敏感性,且现金持有和负债存在显著的替代关系。但是,在逐步考虑融资约束和对冲需求的条件下,公司持有现金和降低债务的偏好随之发生较大的差异和分化,而且,现金和债务的严格替代关系主要存在于未来现金流紧张的融资约束公司中。这些实证结果说明,我国上市公司既有与发达国家相似的持有现金与债务择机而变的现金流管理政策,同时也存在与我国资本市场不完善条件下自有的财务最优行为。  相似文献

文章以我国资本市场2002年非金融类A股公司为样本,实证研究了终极控股股东控制权与现金流权分离对公司现金持有量水平及其市场价值的影响.研究结果发现:(1)当终极控股股东为国有股东时,控制权/现金流权系数与现金持有量水平显著正相关;而当终极控股股东为非国有股东时,控制权/现金流权系数与现金持有量水平虽然正相关,但不能通过显著性检验.表明在两权分离的情况下,国有终极控股股东对高现金持有量水平具有较高的偏好;(2)当终极控股股东为国有股东,且其控制权与现金流权存在分离时,现金持有量的价值为0.769元;而当终极控股股东控制权与现金流权不存在分离或虽存在分离但终极控股股东为非国有股东时,现金持有量的价值为1.206元.从而表明在两权分离的情况下,国有终极控股股东对高现金持有量水平的偏好是一种控股股东利益侵占动机.  相似文献

现金储备支撑企业价格策略,产品价格相对成本的变化是价格决策的重要方面,影响企业产品市场竞争表现,因此本文利用制造业上市公司数据,重点研究现金持有对相对价格竞争行为及相对价格变动在产品市场竞争中发挥的作用,以及这种作用程度在经济不同时期是否有所差别,最后依据相对价格变动的中介效应研究现金持有影响产品市场竞争绩效的作用路径。研究结果表明,企业现金持有越充足,其在产品市场上价格相对成本而言下降的可能性和幅度也更大,进而为企业在产品市场上带来的竞争优势就越明显,但在经济周期不同阶段,作用程度不同。同时企业的价格竞争行为是现金持有支持企业获取竞争绩效的一种路径。本文的研究丰富了现有文献,为我国上市公司增强竞争力提供了一定的理论和实证依据。  相似文献

已有研究表明,公司现金持有量受到公司内部因素的影响并会进行动态调整。然而,现金持有量受宏观经济环境的影响如何以及如何根据宏观经济的变化进行动态调整,少有文献探讨。本文在理论分析的基础上,构建了宏观经济环境对现金持有量影响的静态模型和动态模型,以2001-2011年沪深两市843家上市公司的平衡面板数据为样本,就宏观经济环境对不同控股性质上市公司现金持有行为的影响进行了实证研究。研究结果表明,上市公司现金持有量与经济周期和财政政策显著负相关,而与货币政策显著正相关;现金持有量调整速度与经济周期变化和货币政策变化正相关,而与财政政策变化显著负相关。研究结果还显示,非国有控股公司的现金持有量对宏观经济更敏感,调整速度明显快于国有控股公司。本文为现金持有量的研究提供了更全面的视角。  相似文献

通过在职消费、过度投资、自由现金流和现金股利支付4个变量间接测度管理者攫取的控制权私有收益,并运用中国A股市场数据实证检验权益、债务和可转债3种不同融资方式下(横向比较)以及可转债发行前后(纵向比较)企业控制权私有收益的差异。研究结果表明,可转债发行将导致在职消费和自由现金流的降低以及现金股利支付的增加;但在抑制管理者过度投资中可转债并未发挥积极作用。研究结果为优化我国企业融资结构,完善内部公司治理提供了理论支持;同时,也将为促进我国资本市场金融创新提供新的证据。  相似文献

We examine how the change to 50% labor representation on German supervisory boards is related to working capital and operating cash flows, since both are proxies for short-term financial policies. We expect the change to be associated with reduced working capital and increased operating cash flows. Using a difference-in-differences model, we compare a sample of listed and non-listed firms that changed to parity codetermination between 1987 and 2014 with two different groups of control firms that did not change their level of codetermination. In line with our hypotheses, the results suggest that a change to parity codetermination is related to lower working capital and higher operating cash flows compared to our control firms. We conclude that firms begin to engage in more efficient working capital management due to the change to parity codetermination on supervisory boards. We also conclude that the positive short-term effects on the firms’ operating performance imply that labor representatives do not bear just the interests of employees in mind, but also those of other stakeholders.  相似文献

Including real options in firms ’ value raises numerous difficulties. Limitations concerning the relevance of option pricing models outside financial markets are the most salient, but carrying out a valuation implies other assumptions, especially on firms’ governance. In particular, assessing whether a real option should be included within a firm’s boundaries and how its value should be shared, is difficult. Most of these issues result from the different property rights on real options: who creates and who can exercise the option? We discuss existing answers to these difficulties and propose a matrix based on property rights to help practitioners decide whether a real option can be valued appropriately or not by real options models. We support our discussion with a case study based on an R&;D firm valuation.  相似文献

Alliances between smaller biotechnology firms and larger pharmaceutical firms are the backbone of new product development strategies within the pharmaceutical industry. While pharmaceutical firms seek access to new technologies and products, small biotechnology firms depend on these alliance relationships to access key resources such as financing and downstream capabilities because they typically do not have the resources needed in-house to successfully commercialize their products. In this study, we investigate the governance structure of these alliance relationships arguing that the more resource rich a biotechnology firm is, in terms of technical, commercial, and social capital, the less likely it is to give up equity to an alliance partner. Results suggest that greater biotech patent quality, cash position, and alliance credibility impact the type of governance structure that is chosen by the alliance partners and therefore the extent of control that the biotechnology firm is willing to give up in the relationship.  相似文献

This paper examines whether a bank exercises a monitoring role when a banker is represented on a firm’s board. Bank monitoring reduces information asymmetries, and hence lessens firm’s financial constraints—phenomenon frequently measured by investment-cash flow sensitivity in the sample of all non-financial companies listed during 1999–2002 on the Polish stock exchange. I find that firms with a banker on the board rely more heavily on bank loans than on internal capital in their investment activities. In contrast, firms with no banker on the board finance to a larger extent their investment with internal capital than with credit. However, firms with the bank-lender representation on the board are almost as much financially constrained as firms without a bank-lender representative on the board. Hence, the presence of bankers on boards is not associated with bank monitoring. They rather promote their employer’s business. The findings show that investment of firms with a banker on the board is less sensitive to cash flow than investment of firms without bank representatives on the board. This result suggests that bankers on the board provide financial expertise that help those firm to reduce financial constraints.  相似文献

This study investigates the effects of three highly-visible CEO characteristics on firm valuation. Using a sample of 2702 observations for Australian firms over the period 2001–2011, we find that CEO age is uniformly associated with lower firm valuation. CEO tenure is also associated with lower valuation, but more significantly so in the higher quantiles of firm valuation, that is for firms with high-growth opportunities. In contrast, CEO duality is found to be beneficial only for firms with high-growth opportunities. Overall, the study highlights the contingent relationship between CEO characteristics and firm valuation.  相似文献

This study focuses on the association of voluntary compensation disclosure and ownership structure. It provides evidence that the detachment of control and cash flow rights in dual class share firms is associated with lower levels of compensation disclosure. This association is incremental to the level of managerial ownership and family ownership. The study attributes these disclosure results to the concealment of excess compensation in dual class share firms. Consistent with this explanation, the study finds that managers in dual class share firms earn higher compensation relative to their single class counterparts. An analysis within dual class firms also reveals that compensation disclosure is decreasing in managers’ voting control but increasing in their cash flow rights consistent with a private control benefits explanation. To examine these research questions, the study develops a contextual measure of compensation disclosure that attempts to capture firms’ economic bases for award of compensation.  相似文献

This paper investigates the effect of corporate governance on market reaction around of a stock repurchase announcement. We argue that corporate governance affects the ability of a stock repurchase to alleviate agency costs related to free cash flows, and the credibility of the undervaluation signal sent by the announcement of buyback programs. We find a higher 3-day cumulative abnormal return to programs announced by firms with better corporate governance practices than those with bad governance (1.6% and 0.85% respectively), and the market reaction is significantly higher following the successive scandals in year 2001 (Enron, Arthur Anderson, WorldCom??) and the resulting Sarbanes?COxley Act of 2002. Further investigations indicate that firms with a lower Free Cash Flow to Asset ratio have a higher market reaction, which is consistent with the information signaling hypothesis, and this is more significant in firms with good governance practices, and following post Sarbanes?COxley Act.  相似文献
