This paper examines the effect of country-specific institutional constructs on the relationship between ownership concentration and performance for firms in the eight Continental European countries of Austria, Belgium, Germany, Spain, France, Italy, the Netherlands and Portugal. Using data from publicly-traded firms owned by other companies (i.e., blocks), measures of the quality of investor and creditor protection and the effectiveness of legal institutions are applied. Employing a hierarchical moderated multiple regression analysis, differential validity is established for the relationship between ownership concentration and performance as measured by return on shareholders’ funds. This differential effect comes from creditor protection regimes and is consistent with a relational corporate governance model based on debt finance and concentrated ownership.  相似文献

Although this issue has often been tapped in macro-economic studies micro-level examinations have been rather limited. Despite family firm’s dominant role in economies worldwide, there is little empirical knowledge on their internationalization. Drawing on a sample of Austrian firms, this paper investigates the impact of family influence and various governance factors on internationalization. The findings reveal an inverted U-shaped relationship between family influence and internationalization. Family firms with medium family influence are the most internationally active companies. This indicates that concerning internationalization the advantages of being a family firm are highest when the family’s ownership share and involvement in management and governance boards is not too extensive. Additionally, neither the incumbent generation, nor the level of non-family executives in the management board, nor the existence of a supervisory board has a significant influence on going international. Since advisory boards seem to foster internationalization, they might be an adjuvant means of equipping family firms with the necessary capabilities, know-how and contacts to operate internationally.  相似文献

This paper considers industry-specific contingencies that may account for some of the inter-firm heterogeneity in the deployment of specific corporate governance mechanisms in IPO firms. We examine how differences in demand, competitive, and technological uncertainty in the industry influence the levels of IPO firm monitoring by board outsiders and institutional investors. We test our theory using a sample of U.S. firms that completed an IPO in 24 manufacturing industries. The results indicate that industry uncertainty is, indeed, significantly related to the use of corporate governance mechanisms. In particular, the empirical results indicate that industry effects on IPO firm board monitoring and institutional investor ownership are the strongest and most consistent for demand uncertainty and competitive uncertainty.

Yasemin Y. Kor   is an Associate Professor of Strategic Management at University of South Carolina. She earned her Ph.D. in Business Administration in 2001 from the University of Illinois at Urbana-Champaign. Her research focuses on the intersections of three topics: development and renewal of firm resources and capabilities, top management teams, and corporate governance. The first stream of her research examines how firms develop and deploy their technology and human assets to generate entrepreneurial rents and competitive advantage. The second research area deals with how entrepreneurial skills, experiences, and interactions of top managers shape firms’ strategic choices (including opportunity recognition and team entrepreneurship). The third stream of her research focuses on human and social capital of board directors, and cooperative interactions and frictions between board outside directors and executives. Dr. Kor’s research has been published in Strategic Management Journal, Organization Science, and Journal of Management Studies. She received awards from Academy of Management and she currently serves on the editorial boards of Strategic Management Journal, Journal of Management Studies, and International Journal of Strategic Change Management. Professor Kor has taught Strategic Management, Corporate Strategy, and Entrepreneurship courses at undergraduate and MBA levels. Joseph T. Mahoney   earned his B.A., M.A., and Ph.D. from the University of Pennsylvania. His doctorate from the Wharton School of Business was in Business Economics. Joe joined the College of Business of the University of Illinois at Urbana-Champaign in 1988, was promoted to Full Professor in 2003, and to Investors in Business Education Professor of Strategy in 2007. Joe’s research interest is organizational economics, which includes: resource-based theory, transaction costs theory, real-options theory, agency theory, property rights theory, stakeholder theory, and the behavioral theory of the firm. He has published 42 articles in journal outlets such as Journal of Management, Journal of Management Studies, Strategic Organization, and Strategic Management Journal. His publications have been cited over 2000 times from scholars in 36 countries. In 2005, he published his Sage book intended for first-year doctoral students in the Strategy field: Economic Foundations of Strategy. Currently, Joe is an Associate Editor of International Journal of Strategic Change Management, and of Strategic Management Journal. He also serves on the editorial boards of Journal of Business Research, and Journal of Management Studies. Joe has taught courses in the undergraduate, M.S., M.B.A., Executive MBA, and Ph.D. programs. He has won the outstanding teaching award (as voted by the executives) five times in the Executive MBA program. In the year 2000, he won the Graduate Studies Teaching Award for the College of Business. In the year 2005, he received honorable mention for the Campus Award for Excellence in Graduate and Professional Education. He has served on 39 completed doctoral dissertation committees. Sharon Watson   is an Associate Professor of Management at the University of Delaware and earned her Ph.D. in International Business from the University of South Carolina. Her research centers around issues involved in the management of multinational corporations. Some of the topics she has studied include foreign subsidiary strategies, interdependence among MNC subsidiaries, cross-border mergers and acquisitions, and the influences of cultural values on human resources practices and outcomes. Her research has been published in outlets such as Academy of Management Journal, Strategic Management Journal, Journal of Management Studies and Management International Review. Sharon serves on the editorial board of the Journal of Management and reviews regularly for the Journal of International Business Studies and Academy of Management Journal. Using a sample of 172 Spanish family firms and two responders per firm, consisting of a family member and a non-family member (344 returned questionnaires), we examine the effects of internal social capital on organisational innovation. Building on the relational, cognitive, and structural view, and on social capital theory, we propose that internal networking relationships between family members (family social capital) and between non-family members (non-family social capital) in family firms facilitates innovation. Moreover, its benefits flow from the relationships among the firm's internal groups. The results of structural equation models indicate that the social capital of both family members and non-family members has a direct and positive effect on innovation. Further, our findings provide evidence that non-family social capital is just as effective as family social capital for family firm innovation, establishing a new line of research from an empirical perspective. The findings also test whether social factors are key assets of family firm innovation.  相似文献

Family firms play a significant role in national economies worldwide, accounting e.g. for 85% of all enterprises in the OECD countries as well as for the majority of companies in Central Europe. Previous scholarly research on family firms has mostly focused on the question of how they differ from public corporations, describing family firms as being more conservative, less risk-raking, or reluctant to grow—in sum, as being less entrepreneurial than their non-family counterparts. Similarly, the existing literature often criticizes the lack of innovation in family firms. But since innovation has long been discovered as one of the key drivers to company success, it is surprising that its role in family firms has been mostly neglected in existing academic research so far. The aim of this article is therefore to study the role of (managerial and organizational) innovation in family firms compared to non-family firms on the basis of an empirical survey of 533 companies from Finland, using structural equation modelling (MPlus) for the statistical analyses.  相似文献

In this study, we integrate the transaction costs economics and national culture perspectives by examining the determinants of foreign equity ownership in international R&D joint ventures. Specifically, we focus on the impact of different uncertainty dimensions–environmental and behavioral–on the share of equity that multinational enterprises take in their overseas R&D joint ventures. We further investigate the roles that two national culture components–power distance and uncertainty avoidance–play in this process. Using 543 international R&D joint venture announcements by foreign enterprises in China, India, Japan, and the United States during the period of 1985 to 2004, our results provide support for both transaction costs economics and the national culture perspectives.  相似文献

This paper explores the possibilities and potential surrounding inclusive talent management in contrast to conventional normative treatments. By closely examining the meaning of ‘inclusive’ in relation to talent, the paper moves towards a definition of inclusive talent management which is contextualised in a four-part typology of talent management strategies which offers greater conceptual clarity to researchers working in this field. Our conceptualisation of inclusive talent management is further located in the traditions of positive psychology and the Capability Approach. Whether to invest in a corrupt host country is an important decision for MNEs. Although scholars have investigated the contingent impacts of the institutional characteristics of the MNE parent's home country, extant research concentrates on examining the country-level contingent impact. It neglects the institutional pluralism view that MNEs could face different institutional logics through firm-level channels in their home country, which influences their decision to enter a corrupt host country. Employing the unique dataset of 42,126 Japanese MNE-host country-year pairs, this study finds that MNEs are discouraged from investing in corrupt host countries when they have greater foreign ownership or a higher ratio of independent board members because they face shareholder-oriented institutional logic in the home country. Such an effect is mitigated when MNEs are embedded in cross-equity holdings, as they face stakeholder-oriented logic.  相似文献

This study focuses on the association of voluntary compensation disclosure and ownership structure. It provides evidence that the detachment of control and cash flow rights in dual class share firms is associated with lower levels of compensation disclosure. This association is incremental to the level of managerial ownership and family ownership. The study attributes these disclosure results to the concealment of excess compensation in dual class share firms. Consistent with this explanation, the study finds that managers in dual class share firms earn higher compensation relative to their single class counterparts. An analysis within dual class firms also reveals that compensation disclosure is decreasing in managers’ voting control but increasing in their cash flow rights consistent with a private control benefits explanation. To examine these research questions, the study develops a contextual measure of compensation disclosure that attempts to capture firms’ economic bases for award of compensation.  相似文献

The ownership strategy of multinational enterprises (MNEs) i.e. the choice between wholly owned subsidiary (WOS) or international joint venture (IJV) is an extensively studied topic in international business studies. Many past studies concentrated on transactional, economic, location attraction, resource seeking and learning rationales for the ownership strategy of MNEs. However, it is important to note that MNEs enter a new institutional environment also when they enter new international markets. Therefore, the ownership strategy of MNEs is also influenced by the external as well as internal institutions. This paper attempts to address the impacts of different institutional pressures on ownership strategy of MNEs using the arguments from institutional theory. The paper also includes discussion about the strength of market supporting institutions in the host country and its impacts on the ownership strategy of MNEs. On the basis of the theoretical discussion, several propositions are developed in this paper. These propositions relate the ownership strategy of MNEs with the impacts of internal and external institutional pressures on it. It is also proposed to consider the impact of strength of market supporting institutions in the host country on the ownership strategy specifically. When the host country has well developed institutions supporting market conforming values, they can moderate the impacts of coercive and normative pressures from external institutions on the MNEs.  相似文献

We explore the process through which MNE subsidiaries engage and retain a critical mass of small suppliers in Global Value Chains (GVCs) while addressing institutional voids in emerging markets. Using evidence from an interpretive inductive longitudinal case study in agribusiness, we draw on the GVC and institutional voids literatures to: (1) extend the GVC literature by offering a subsidiary-focused view of GVCs; and (2) demonstrate the dynamic process of void engagement through complementary institutional bridging activities. Our temporal sequencing of subsidiary institutional agency in response to different modalities of voids demonstrates a constellation of bridging activities that results from a dynamic interplay between voids and practices.  相似文献

A substantial literature has evolved focusing on the ownership structure of international strategic alliances (ISAs). Most of the relevant studies are theoretical in nature and concentrate on the conceptual factors that influence the choice between equity and non-equity structures. A smaller number of studies provide some empirical evidence on the importance of some of the conceptual factors. The theoretical literature highlights the potential influence of relational capital and transaction costs as determinants of ISA structure; however, there is little empirical evidence on the relative importance of these potential determinants. Moreover, there is only limited and indirect evidence bearing upon the impact of host country governance attributes on ISA ownership structure. In this study, we provide statistical evidence on the importance of potential determinants of governance mode choice for a sample of ISAs involving Danish firms. Our study documents how the determinants of governance mode choice vary in importance depending upon the “quality” of the governance infrastructure of the host country.  相似文献

Although prior research has addressed the influence of production activity and research and development (R&D) on productivity, it is not clear whether production and R&D affect the market value of a firm. This study proposes and verifies an R&D value chain framework to explore the relationship among productivity, R&D, and firm market values, as measured by Tobin's q theory. By doing so, we attempt to link new theoretical insights and empirical evidence on the effects of R&D efforts and basic production activities to the market valuations of high-technology firms. The value chain data envelopment analysis approach was proposed to estimate parallel-serial processes of basic operations and R&D efforts. This approach can be used to simultaneously estimate the profitability efficiency and marketability efficiency of high-technology firms. This area has rarely been studied, but it is particularly important for high-technology R&D policies and for further industrial development. Using the R&D value chain perspectives of model innovations and extensions proposed in several previous studies, we examined the appropriate levels of intermediate outputs. Production efficiency and R&D were combined to estimate the appropriate levels of intermediate outputs for high-technology firms. Based on the intermediate output analyses, we developed an R&D efforts decision matrix to explore and identify operational and R&D efficiency for high-technology firms. Our sample firms are displayed on a four-quadrant action grid that provides visual information on current short-term operational efficiency and decision making on long-term R&D strategic positions. The empirical findings from the R&D value chain model can provide information for policymakers and managers and suggest the adoption of various policies that place more emphasis on profitability and marketability strategies.  相似文献

Ambidexterity commonly refers to the simultaneous pursuit of exploration and exploitation and may be particularly beneficial for family firms. In this study, we investigate how family CEO and top management team (TMT) family affiliation influence ambidexterity. In addition, we consider the role of family ownership dispersion and how it impacts the ability of the top managers of family firms to foster ambidexterity. We test our hypotheses on a unique dataset combining archival and multiple respondent survey data of 167 German family firms. 通过对组织学习能力、战略柔性及企业绩效的相关文献的系统梳理,探索性地提出了一个体现组织学习能力、战略柔性以及企业绩效之间关系的结构模型,采用多行业的样本数据,运用SPSS和结构方程模型,通过样本分析,检验了组织学习能力对不同类型的战略柔性(资源柔性和能力柔性)的影响,以及资源柔性和能力柔性分别对于企业绩效的影响;通过假说验证分析,辅助各变量R2值的分析,企业绩效的53.6%被战略柔性的影响作用所解释,又由于资源柔性对企业绩效的影响作用不显著,所以被解释的企业绩效很大程度上源于能力柔性的影响.研究表明确实存在组织学习能力对战略柔性的影响作用,以及不同类型的战略柔性(资源柔性和能力柔性)对企业绩效影响的差异,从而为企业提高经营绩效提供理论基础和有效途径.  相似文献

Although multiculturalism has drawn increasing attention in international business research, relatively little is known about multiculturalism beyond individuals who have immigrated to a new host country. This study uses interviews with 79 assigned expatriates in two host countries – China and Japan – to develop a cultural and language identification-based typology of monocultural, cosmopolitan, integrated bicultural, and conflicting bicultural expatriates. We also use the interview findings to demonstrate the workplace manifestations of each expatriate type. This study contributes by deepening research on multicultural employees in situ, moving beyond the assumption of monocultural identification in expatriate research, and discussing workplace manifestations of both culture and language identification.  相似文献

This research investigates human resource management HRM practices of manufacturing firms in Ontario, Canada n = 141 , and midwestern United States n = 100 . Differences in sources of recruitment and selection instruments used by firms in the two countries are examined. The study also compares various training, compensation, and other HRM issues.
