本研究从董事会职能角度考察了董事会战略参与的经济效应,并基于董事会结构探讨了董事会监督治理职能与战略服务职能间的兼容性对战略参与效应的影响。实证结果表明,董事会参与公司战略管理并没有实现预期的业绩改善,两职合一、独立董事比例对董事会战略参与效应具有正向调节作用,而董事会规模则具有负向调节效应。研究结果总体表明,董事会监督治理职能与战略服务职能具有融合的必要性和可能性,融合两种职能更有利于董事会效能的发挥。  相似文献

在优化中国上市公司董事会治理评价指标体系的基础上,对上市公司董事会治理状况进行指数化评价,并对董事会治理评价指数及其与公司绩效的关系进行实证分析.实证结果显示,董事会治理质量趋于改善,独立性有所增强,但整体治理指数仍然较低;行业因素、控股股东性质对董事会治理产生重要影响,即行业的竞争性越强董事会治理质量越高,当控股股东为职工持股会和民营企业时董事会治理指数较高;不同董事会治理机制间存在替代效应,董事会治理水平的提高对公司绩效产生显著的正向效应,由于替代效应的存在,单一董事会治理机制与公司绩效间的关系缺乏显著性和一致性,但作为一个整体,董事会治理质量的改善显著地提高公司绩效.据此提出改善中国上市公司董事会治理的政策建议.  相似文献

本文就董事会规模、活动强度和独立性对上市公司盈余管理的影响进行了理论分析和实证检验,发现独立董事的比例和盈余管理的程度之间存在U型曲线关系,董事会独立性的增加在一定程度上减少了盈余管理;董事会活动强度、董事会规模与盈余管理的关系不显著;研究还发现资产规模小的公司和盈利能力差的公司更可能从事盈余管理。研究为上市公司的公司治理改革提供了经验证据。  相似文献

纵观有关董事会治理机制的经验研究文献,可以发现绝大多数学者都面临着变量的联合内生性问题.重点关注在内生条件下,董事会规模和公司绩效的关系.使用中国上市公司2004年度数据研究发现,董事会规模是一个影响公司治理的重要因素,但是,与现有的研究文献不同,没有发现董事会规模与公司绩效显著相关.这个结果表明,平均而言,中国公司选择了最优的董事会规模.董事会规模在截面上的变化只是反映了公司运营环境的不同,而非公司对这些治理机制的不合理运用.  相似文献

本文以董事会治理研究为主题,对几十年来相关研究的理论基础进行了梳理,对不同理论的基础观点、实证支持和最新进展等内容进行了综合阐述,对这些理论各自的局限性做出了评价,有利于我们进一步了解董事会运作机理和提高董事会治理效果.在此基础上,我们以提高治理绩效为宗旨,构建了一个董事会治理研究的逻辑框架体系,藉此可以看出,已有研究对董事会属性、角色与绩效之间关系的作用途径和机理还了解较少,特别是随着公司治理实践的不断发展和经济环境的变化,对于董事会治理的研究还有大量的未知领域需要去探索.最后我们列出了今后董事会治理研究的一些思路和建议.  相似文献

本文提炼出归核化战略实施后信息不对称程度、产品竞争机制、管理者与债权人地位等治理环境产生的自发性变化;然后,根据治理环境与治理职能相匹配的思路,推演出公司在归核化战略实施后,对公司治理的战略控制与资源供给职能的需求;据此构建了基于归核化战略实施保障的治理优化模型。最后,利用董事会结构变量对模型进行检验,结果表明:独立董事的战略控制能力较弱,不利于归核化战略的有效实施;而未领取报酬董事可以为归核化战略的实施提供资源保障。  相似文献

本文以2005年我国A股上市公司的公司治理和财务数据为基础,实证检验了股权结构、治理机制与盈余管理水平之间的关系。结果表明,盈余管理与股权集中度、控股股东性质、董事会规模(公司法规定的合理范围内)、独立董事的比例、管理者薪酬显著负相关。为了抑制上市公司的盈余管理行为,应当改善公司股权结构,加强董事会的独立性,强化对管理者的激励措施,优化上市公司的质量。  相似文献

While corporate governance and strategic management have for a long time suffered from artificial separation and, therefore, generally been tackled in a secluded manner, their combined organizational impact makes them stringently related to one another in the firms’ evolution. In this paper, we argue that, transcending the “silo view” of corporate governance and strategic management, time has come to acknowledge that, depending on circumstances and time periods, within a firm is possible to detect the relative dominance of corporate governance over strategic management, rather than the leadership of strategic management over corporate governance. Drawing on a contingency approach, we dissect the relationships (and the mechanisms that control it) between the strategic function (i.e., which defines the firms’ strategy and supervisions its implementation) and the governance function (i.e., the congruence assessment between the firm strategy selected and the interests of the ownership and of other relevant stakeholders represented in the board of directors and the effectiveness appraisal of the entrepreneurial action). Then, by performing a thorough retrospective qualitative analysis of three relevant case-histories of Italian firms (Fiat, Telecom Italia and Unicredit) operating in three different industries (automobile, banking and telecommunications), we surmise that, either in corporate governance (board) oriented or in strategic management (CEO) oriented companies, the ‘real’ problems arise when the quality of corporate governance or strategic management is poor. Interestingly, we eventually suggest to adopt a value-based approach to the relationship between corporate governance and strategy that may fruitfully complement the contingency perspective taken at the onset of the work.  相似文献

Boards of directors play a central role in governing corporate strategic change. We systematically review corporate governance research on strategic change published over the past 40 years, differentiating between strategic change types and board characteristics. We identify three developments: a focus on specific strategic change types, board composition and structure, and North American listed firms as a dominant study context. Yet, our analysis of the literature shows that research on board governance of interrelated strategic changes, on different board roles and behaviour, and on the governance of strategic changes across different contexts remains underdeveloped. To address these research gaps, we suggest three future research avenues: (1) examining how boards govern interrelated changes in a strategic change portfolio and its evolution over time; (2) studying the mediating relationship between board governance (particularly different board roles and behaviour), strategic changes, and corresponding outcomes; and (3) gaining a better understanding of the role of context in board governance of interrelated strategic changes. We contribute to corporate governance research by developing a framework that synthesizes extant research on the relationships between different board governance variables and strategic change types, highlights important research gaps, and outlines several future research directions to address these gaps. Our framework and literature overview serve as analytical tools to examine whether boards are well-designed and prepared to govern multiple and interrelated strategic changes.  相似文献

Boards of directors are a vital part of corporate governance systems. In the on-going discussion about the development of national corporate governance systems, however, little interest has been given to the issue of how and why board behavior changes over time. In this article, we use an institutional approach and study the development of board behavior in Sweden between 1994 and 2004 and if it is affected by board composition and board network characteristics. In order to do so, we introduce the constructs of board activities, i.e. what the boards do, and board involvement, i.e. when in the decision process they get involved. Findings show that range of board activities and board involvement have increased drastically during this period, which indicates a change in the logic of appropriateness of Swedish board behavior. There are robust indications that new types of actors affect activities and involvement positively, as do board interlocks, whereas network centrality affects activities and involvement negatively.  相似文献

This paper explores the performance impact of recent changes in foreign shareholdings and boardroom reforms in Japan. Empirical research on the impact of reform on the Japanese corporate governance system could provide useful lessons for their European counterparts who are themselves facing similar pressures to reform. We found that although participation of outside directors in strategic decision-making was associated with positive stock returns, the increase in the ratio of outside directors, the separation of the board members and executive officers, and the reduction of board size were not related to firm performance.  相似文献

理论和实证研究证明,良好的公司治理对金融体系稳健运行有十分重要的作用.商业银行公司治理的研究和实践既是银行业改革的迫切要求,也是银行业改革的核心内容之一.本文用36家商业银行2005年的截面数据,对股权结构、董事会、监事会和高管人员薪酬激励等四个治理机制与银行绩效之间的关系进行了实证研究.结果表明,国有与非国有控股商业银行绩效不存在显著差异,第一大股东对银行绩效的影响并不显著,但外部大股东能显著地提高银行绩效.董事会与监事会规模与银行绩效正相关,但独立性难以得到保证.此外,高管人员薪酬激励不能改善银行绩效.  相似文献

There is an absence of research about what information boards of directors have access to and how they use that information. The purpose of this paper is to explore and theorize about the content and use of information to boards of directors. The paper introduces and elaborates on the concept of ‘board accounts’, which is defined as the information supplied to boards of directors by top-management. The paper locates the board accounts in the Swedish institutional setting and demonstrates how the concept can be operationalized in an empirical setting. On the basis of a unique material of archived board records in a Swedish company, the paper explores the board accounts over a period of 10 years (1989–1998). It is found that while use of the board accounts in the case study company changes considerably over time, the content of the board accounts remains largely unchanged. This raises questions about where and when directors receive information, the reliability of the information in the board accounts, and recent attempts to integrate corporate governance and management accounting (CIMA, Performance reporting to boards: a guide to good practice, 2003; CIMA strategic scorecard: boards engaging in strategy, 2005; Seal, Management Accounting Research 17(4):389–408, 2006). Finally, the paper discusses the merits of historical archive-based approaches in this field and possibilities for future research.
