Pre‐Going Private Ownership Around the World

Going private transactions are often highly leveraged, and give rise to potential agency conflicts among existing shareholders. But who exactly are those shareholders, and under what legal conditions are these transactions more likely to occur? We examine ownership structure prior to going private transactions in 33 countries around the world from 2002 to 2014. The data indicate strong and consistent evidence that pre‐going private ownership is characterized by higher institutional and corporate ownership. Family ownership lowers the probability of a public to private transaction. Stronger creditor rights increase the probability of going private, particularly for whole company and institutional buyouts.

近一两年来,网络监督成为一个热门话题,掀起了网上反腐和问责的洪流.从深圳海事局党组书记到南京市某区的房管局局长,从公款出游的官员到公款消费的村主任,每一次揭露都在网上引发了强烈的舆论浪潮.这让我们不得不对网络监督进行认真的审视.     

Beyond Positive Reinforcement

Abstract

This article comments on the need to recognize that OBM already is a “positive psychology” for many more reasons than just that it embraces positive reinforce as a cornerstone of workplace improvement. This paper suggests there are at least 10 ways in which OBM constitutes a distinctly “positive” and humanizing approach to management practices. These ways are enumerated and briefly reviewed.     

Beyond Negative Affectivity:

Stress researchers frequently use self-report measures to assess stress, health, psychological adjustment, and subjective dissatisfaction. We present evidence demonstrating that all of these variables are highly intercorrelated and reflect a common underlying factor of Negative Affectivity (NA). NA is a stable and pervasive personality dimension-high NA individuals report more stress, distress and physical complaints, even in the absence of any objective stressor or health problem. Thus, NA may operate as a substantial nuisance factor in many areas of research. To circumvent its influence, investigators can use non-subjective measures of stress and health. Finally, we present a two-factor model of stress and satisfaction that includes, in addition to NA, the independent factor of Positive Affectivity (PA), a trait reflecting positive feelings about oneself and one's life.     

党外领导干部如何定位从政角色

随着共产党领导的多党合作和政治协商制度的日臻完善,一批德才兼备、符合干部“四化”标准的党外干部被充实到各级各类领导岗位。党外领导干部除了具有与党员领导干部共同的目标追求、行为准则之外,还有一些基于自身身份的行为取向和角色定位。笔者结合自己经公开选拔担任兰州市副市长三年来的实践与思考,就党外领导干部如何定位从政角色谈些体会。一、树立正确“官念”,努力做多党合作制度的维护者民主党派成员从政,参与国家、地方事务管理,要树立正确的从政指导思想,正确看待职位,准确把握角色,淡化“官念”,强化责任,积极主动、卓有成效…     

为竞争上岗工作解难

近年来,竞争上岗的改革措施在激活机关用人机制、改善机关干部结构、扩大干部工作中的民主、增强机关活力等方面取得了明显成效,并越来越受到广大干部群众的拥护和欢迎.但目前在具体操作中,对有些难点问题把握不准,解决不好,在一定程度上影响了竞争上岗工作推行的力度和效果.     

中国企业“走出去”跨文化环境因素探究

"一带一路"倡议推动了中国企业的国际化进程,而中国企业在"走出去"过程中正面临大量跨文化问题。为了探究中国企业跨国经营过程中的文化因素,本研究首先基于Web of Science数据库进行了系统化分析,归纳了跨文化环境指标;然后,基于扎根理论的思想对大量国际化企业的高管进行了调查研究。通过整合两部分的跨文化商业环境指标,构建中国企业"走出去"的跨文化冰河模型。

不少县乡财政吃紧,拖欠人员工资,行政效率低下,干群关系紧张,各种矛盾突出,不同程度地陷入困境.分析其原因,除体制、经济等方面的因素外,人们往往忽视但却十分重要的因素是政府成本管理乏力.县乡政府要走出困境,必须重视政府成本管理问题.
