本文通过风险投资商投资W公司过程中发生一系列事件的描述 ,揭示了成长阶段的高科技企业普遍存在的公司治理问题的独特成因———企业法律所有权与价值驱动因素控制权分离。与传统企业所有权和经营权分离不同的是 ,人力资本及其控制的无形资产对高科技企业价值的贡献相对于有形资产的重要性大大提高 ,而高科技企业的人力资本与增长机会和价值驱动资源高度粘合 ,但这些资源并不能由法律上的所有者控制。  相似文献

Two distinctively different decomposition algorithms have been developed. Both are analagous to decentralized decision making in the firm. One essentially deals with the allocation of corporate resources by the use of transfer prices charged to the divisions, while the other deals with the direct allocation of fixed quantities of the corporate resources to each division. The analogy of a price coordinated, or transfer pricing, technique to decentralization was developed by Baumol and Fabian [1] and later by Kim [4]. The second approach to decomposition was developed by Kornai and Liptak [5] [6] in an attempt to formulate the planning problem in a Socialist economy. It is the purpose of this paper to develop the analogy of the resource allocation decomposition to decentralized decision making.  相似文献

This paper presents a multi-objective model that can be used to help information systems (IS) managers decide which IS projects should be selected for development and implementation in a constrained resource environment. Developed to overcome the problems observed in currently used IS selection procedures, the model presented in this paper can be used to make decisions when IS selection goals are conflicting and measured in incommensurable units. To illustrate the use of this multi-objective approach to model IS project selection, a corporate resource allocation problem is developed and solved. Comparative results with currently used scoring and ranking methods reveals the superiority of the proposed multi-objective model.  相似文献

大型建筑工程项目多类型资源的有效配置,是现阶段项目管理理论与工程管理实践面临的关键问题,特别是在考虑工艺顺序和间歇时间的工作可操作性特点,以及多资源之间反馈影响的情况下。通过整合挣值法和系统动力学理论,在分析资源可用性和工作可操作性之间因果关系的基础上,本文构建了大型建筑工程项目多资源配置的系统动力学模型。以上海市重大工程投资统计数据作为模型参数依据,模型的仿真结果表明:建筑工程项目不同类型资源其配置重要性与系统影响性存在显著差异,在制定资源配置策略时应同时考虑项目运作方式的特征与多资源之间的匹配,资源不匹配则容易导致资源配置系统失去稳态或策略失效。这为进一步研究项目管理中多资源配置提供了理论参考和实践支持。  相似文献

This paper examines headquarters allocation of resources to specific innovation transfer projects within the multinational enterprise between sending and receiving subsidiaries, focusing on the role of the subsidiary hosting the transfer. Resource allocation is of key strategic importance for the organization given that resources are limited in the multinational enterprise and that headquarters is the principal actor in distributing resources internally between competing innovation transfer projects. Findings from a dataset of 169 innovation transfer projects reveal that headquarters tend to favor established lines of innovation at the subsidiary level, as opposed to overall subsidiary operational relatedness for additional corporate resources. It is found that headquarters also tend to allocate resources to acquired subsidiaries' transfer projects to a higher degree than to those of greenfield ones. A curvilinear effect is found for subsidiary bargaining power which is initially positive and subsequently negative. The results highlight that certain subsidiary and innovation traits are determinants of headquarters resource allocation.  相似文献

本文首先根据企业调研和问卷分析的结果,对阻碍中小企业创新能力提升的内在原因进行了分析,发现创新过程中的战略不协调是阻碍中小企业创新的重要内因.接着,本文对创新能力内涵和影响创新能力的战略因素方面进行了文献综述.然后采用文献研究和案例研究结合的方法,对前人的理论进行了分析总结,将昆药、海尔等案例进行了分析,提出通过战略和愿景提升中小企业创新能力的三条机制:一,清晰的在组织层面上共享的愿景通过指引创新资源配置方向来实现创新能力的提升;二,战略和组织结构的协调通过影响创新资源的配置和组织学习的方式来影响核,心能力的构建;三,战略和文化的协调通过影响组织学习的方式来影响核心能力的形成和积累.最后,本文针对中小企业创新中普遍存在的问题,提出了一些建议.  相似文献

Neoclassical and strategy frameworks stipulate that managers promote corporate performance and shareholder interests in their resource allocation decisions. Agency related works anticipate that executives seek their own personal interests at a cost to performance and shareholder wealth in their resource allocation choices. In this study, an attempt is made to resolve these conflicting anticipations. We propose that changes in levels of resource allocations (advertising expenditure, R&D spending, capital intensity) may be more positively associated with changes in levels of subsequent corporate performance for firms with greater external monitoring or with higher CEO ownership incentives. We also propose that changes in levels of resource allocations may directly (inversely) affect changes in levels of subsequent performance of the actively (passively) monitored enterprises, lacking (possessing) free cash flow. Additionally, we propose that changes in levels of resource allocations may directly (inversely) affect changes in levels of subsequent performance of firms with high (low) CEO ownership incentives in the absence (presence) of free cash flow. Regression models are utilized to test our proposals on a longitudinal sample obtained from the Compustat database. The empirical findings are generally supportive of our proposals.

The environment within which institutions undertake commercial and industrial activity changes both as a result of decisions dependent on the institution itself and as a result of decisions independent of the institution. In recent years many of these changes have resulted in changing perspectives on the range of criteria which should be considered when determining how and where large corporations should invest their money. This paper examines these changes in corporate practice and identifies the cumulative results of these changes in the environment of corporate activity. The paper also examines some of the key elements in new approaches which corporations are adopting to capital investment decisions by utilizing data on a broadly based research project which examines in depth the capital investment/ resource allocation processes of five large, worldwide, manufacturing firms. The subject is of vital importance to large and small businesses, both because of the crucial importance of investment decisions and because of the importance for future strategic planning of identifying the environment within which corporate activities take place.  相似文献

The changing climate of industrial relations has created a more puralist and complex state of relationships within the industrial sector of the economy. Trade unions and their employees are demanding and achieving a greater degree of participation in both the long and short term issues which affect company decisions in terms of either resource allocation or general policy. This article examines the role of trade unions within the context of strategic planning and argues that their increasing involvement is inevitable and their role should therefore be effectively recognized and their contribution to the development of corporate strategy ensured.  相似文献

There are organizational systems, such as bank branches and two-stage supply chains, which are composed of multiple parallel two-stage structures. Resource allocation in these systems is to maximize the benefit of the overall organization from a global viewpoint. In this study, we consider two types of systems at an organizational level: a centralized organizational system treating the whole two-stage production process as a basic unit, and a decentralized organizational system including two sub-organizations (groups) treating one of the two-stage production processes as a basic unit. We propose intra-organizational and inter-organizational resource allocation plans for two different organizational systems, respectively. Specially, two modes of free intermediate resource allocation (Free IRA) and fixed intermediate resource allocation (Fixed IRA) are discussed for the decentralized organizational system. The proposed allocation plans are based on two-stage data envelopment analysis models with bi-level formulations, in which the upper-level model is to maximize the entire organizational effectiveness (total outputs minus total inputs) by determining the optimized input resources and output targets while the lower-level model is concerned with efficiency constraints of all decision-making units simultaneously. The developed methods are illustrated by an application to a real-world problem with 17 city bank branches.  相似文献

A new approach to corporate development activities in multi-divisional companies is the use of resource allocation models such as that briefly described by the authors in their introduction. The basic assumption of the model, which is the existence of a strong relationship between market share and profitability as a result of the experience effect, is still a subject of controversy.The article is therefore devoted to an analysis of this relationship which is verified for 18 different Strategic Product Centres of a multinational company operating in the field of high-precision engineering. This paper is concerned with the estimation of the resource requirements to service multiple projects that use many types of resources. It reports on a systematic procedure to determine the low cost levels of these resources, focusing on the two following characteristics: (1) the comparative cost of standard time to overtime in the utilization of these resources for the economical completion of the projects, and (2) the impact of highly expensive equipment in the determination of the economic levels of the manpower resources that combine with the equipment to form a crew. A numerical example is also presented to illustrate the method. Resource planning is of particular interest in the area of multiproject scheduling, since most of the commonly utilized heuristic solution approaches focus on the allocation of a limited set of available resources. In the corporate strategic planning functions, resource planning is particularly important for capital investment, training and development, and procurement scheduling.  相似文献

This paper reviews the literature on quantitative modelling for research and development (R&;D) project selection and resource allocation. The topic has been a subject of operations research for about four decades. Its importance stems from the fact that R&D projects are a core element of corporate renewal, heavily influence a firm's market success and, if not properly chosen and trimmed, may waste large amounts of resources or even ruin the enterprise. 企业投资现金流敏感性问题可以由现金流代理假说解释,也可以由管理者过度自信假说解释,本文以企业的成长性、现金流特征为划分指标对企业进行分组,并以此来区分与检验两种理论假说。研究结果显示,自由现金流代理问题较为严重的低成长—高现金流企业,将会发生企业过度投资。同样,过度自信问题较为严重的高成长—高现金流企业,也将发生企业过度投资。实证研究结果即支持了自由现金流代理假说,也支持了过度自信假说。  相似文献

The power of an integer programming approach—and more particularly a 0,1 programming approach—to resource allocation problems is not widely appreciated. Recent developments in mathematical programming and in problem formulation enable decision makers to deal explicitly with the special conditions which characterize real world problems in capital budgeting, scheduling, and facilities planning. In this paper, somewhat tutorial in nature, we seek to demonstrate formulation and solution of an equipment selection resource allocation problem with several special conditions. The problem can be solved on any reasonably equipped computer system. Sensitivity studies are also performed and discussed.  相似文献

Due to the significant role of non‐profit organizations in the development of modern societies, these organizations must adjust their boardrooms. Since traditional theories of corporate governance appear to be limited in explaining the changing non‐profit world, we propose an extended model of governance that integrates the traditional arguments of agency theory with a cognitive dimension. Based on a sample of Spanish foundations, we present evidence on the effect of the board composition on foundations' organizational efficiency. We show that board size and independence do not have a definitive effect on the entity's efficiency. Instead, the knowledge diversity inside the boardroom and the active character of trustees have a positive influence on resource allocation. The cognitive dimension of the extended model of governance is critical to explaining how boards impact on organizational performance.  相似文献
