控股股东代理的激励与侵占效应分析   总被引:1,自引:0,他引:1  
控股股东与中小股东、债权人的代理冲突已经成为公司治理中代理问题的核心,而且也有相关文献实证分析了控股股东对企业绩效和企业价值的影响,但精确的定量理论分析仍较为缺乏.本文通过建立实物期权模型,理论研究了控股股东代理对企业投资政策选择和企业价值的影响.研究结果表明,随着控股股东现金流权的增加,企业价值增加,证明了控股股东存在正向的激励效应;随着控殷股东控制权和现金流权分离程度的加大.企业价值迅速降低,投资提前,该结论证明了控股股东具有负的侵占效应.  相似文献

The Tanzania Wood Industry Corporation is one of the very few parastatal organizations that have developed and introduced a strategic corporate planning process. The novelty of the idea, the many operational problems that surround the managers and the lack of adequate training are some of the problems that have retarded the development and introduction of corporate planning in Tanzania. In 1980 the new CEO of TWICO contracted a Finnish management consulting firm to audit the whole corporation and to recommend a better management practice. Systems manuals were then developed and a grassroots based strategic corporate planning process was then introduced. Now in its third year, the impact on management is very encouraging.  相似文献

Much recent discussion of corporate social responsibility has concerned operationality. Many activities subsumed under corporate social responsibility can be shown to be public or partially public goods. The theory of public goods can clarify and explain some complex problems of operationalizing the social responsibility doctrine. 本文通过风险投资商投资W公司过程中发生一系列事件的描述 ,揭示了成长阶段的高科技企业普遍存在的公司治理问题的独特成因———企业法律所有权与价值驱动因素控制权分离。与传统企业所有权和经营权分离不同的是 ,人力资本及其控制的无形资产对高科技企业价值的贡献相对于有形资产的重要性大大提高 ,而高科技企业的人力资本与增长机会和价值驱动资源高度粘合 ,但这些资源并不能由法律上的所有者控制。  相似文献

现代公司治理理论认为股权制衡与股权控制对公司价值创造能力能够产生显著影响,然而就影响范式、影响效果等问题的研究尚未达成一致结论。基于部分线性非平衡面板数据模型,本文对此进行了再研究,讨论了股权制衡度对公司价值创造能力的不同影响范式:线性与非线性,并给出优选方案。最后,对我国A股214家上市公司2000年-2011年共6674个样本数据进行了实证研究,结果表明:股权制衡度对公司价值创造能力呈现非线性影响模式,表现出“倒U型”变动规律,并且其他因素的影响会改变最优的股权制衡度,这为进一步寻找最优股权制衡规模的主要影响因素提供了理论依据和实施有效的公司治理提供了决策参考。  相似文献

The market planning subset of the corporate planning process has unique difficulties associated with technical, organizational and behavioural problems. A major technical problem is that of getting the company sales forecast right. The paper suggests a check-list for budget reviewers aimed at producing more realism in forecasting (Section II).Organizational problems are discussed in terms of allowing time for full concurrence between budget framers and reviewers (Section III). The little-discussed behavioural problems associated with the interface between line management and marketing staff specialists are outlined in Section IV with some suggestions for overcoming them.  相似文献

This paper is about corporate planning, seen primarily but not exclusively from the viewpoint of operational research. The reasons for the rise of interest in corporate planning are examined, as are the contributions which O.R. has made or can make to corporate planning problems. An abstract discussion of these problems concentrates on those posed by increasing “connectedness” in the environment. After comparing the responses of the “commonsense manager”, the model-oriented operational researcher, and the cybernetician, the question is posed: “How can the operational researcher or planner enhance the adaptive capability of his organization?” A case study illustrates one possible form of solution, the “modular” approach; and another, the “zoom-lens” is outlined. The relevance of global system modelling to the widening problems of the corporate planner is also considered, and related to the concepts previously discussed.  相似文献

As the world about us changes, managers in all types of institutions try to cope in a variety of ways. In the early 1960s, many corporate managers realized they could not make sound decisions about future business activities in an expedient, reactive manner because their firms were growing very large and complex with new technologies, products, markets and competition to deal with. As a result, formal planning techniques which had been used in narrow functional applications were introduced on a much broader scale and formal long-range planning became popular. New corporate planning functions appeared in many companies, as well as new staff planning specialists and planning executives. The author conducted a field study on the design of these systems in the mid-1960s and he argues that they showed great promise for improved management.With this history in mind, we might ask why such subjects as ‘planning techniques’ and ‘problems of implementation’ are still topics of concern. It would seem that such techniques would be well known and established in most firms after 10–15 years. However, this is not the case, for during a second field study of corporate planning systems which was completed in 1976 the author found that many corporations, including some of the largest ones, had redesigned their planning systems in the early 1970s, essentially making a fresh start at formal long-range planning. (See Table 1).From his recent field study the author concludes that all corporations experience problems in implementing and using a formal planning system. The nature of these problems and some possible remedies are the subjects upon which this article focuses.  相似文献

We investigate the valuation effects related to corporate minority block purchases for a European sample of 113 purchases over 1993–2006. We argue that corporate block ownership, as opposed to institutional or individual block ownership, has several unique characteristics and can create significant short- and long-term wealth for target and acquiring firm shareholders. Because target firms that exhibit signs of inefficient monitoring or agency problems benefit the most, we conclude that corporate block ownerships can align incentives and mitigate information problems in corporate business relationships.  相似文献

本文利用实物期权方法在风险中性概率测试下研究公司的债务与内生破产问题。将公司破产与接管理解为股东和债权人持有的期权,在得到写在公司资产上的各种相机权益的价值后,本文详细讨论风险债务的债权人在公司破产时选择破产清算或破产营运时公司债务水平与破产决策之间的关系,分析了不同杠杆水平的公司破产决策问题,发现公司债务对公司的破产决策具有重要影响。杠杆公司股东策略违约的破产时间与公司价值最大化的时间通常不一致,破产导致公司价值损失;而且由于杠杆融资,公司破产时间与纯股本公司破产时间不一致,破产带来效率损失。本文的分析对我国公司债务与破产政策的研究具有一定借鉴意义。  相似文献

Computerized Corporate Planning as defined in this study is: the use of the computer to simulate the effect of alternative strategies on achievement of corporate objectives; the capability of answering ‘What if?’ questions.

The increasing complexity of business firms operating in a rapidly changing environment has led many managers in recent years to consider the development of computerized corporate planning systems. This article is concerned with an in depth study of some 55 such installations in North America and Europe. The objective of this effort conducted during the period of June –November 1970, was to determine the state of the art, identify problems of installation, and project trends in the rapidly evolving use of computers in planning. Specific questions include:

What is the economic justification for these systems? How are they being used? Who is using them? Have results measured up to expectations? What are the costs? Are organizational problems incurred?  相似文献

It has often been said that corporate planning is an art which, like all art perhaps, means all things to all men. As other papers have attempted to do this approaches the concepts of corporate planning in an analytical manner and illuminates a number of approaches which the author considers to be preferable. 基于2004~2006年中国上市公司截面数据,在实证检验不同治理机制间替代效应的基础上,系统分析了终极控制、公司治理与企业价值间的互动关系,验证了公司治理的中介效应。结果显示:1.董事会治理与其它治理机制间存在显著的替代效应。第一大股东持股比例的增加会强化董事会治理与股权制衡度、监事会治理之间的替代效应,而会弱化董事会治理与管理层激励、信息披露之间的替代效应;2.终极控制股东两权偏离对公司价值具有显著的负面效应;3.公司治理对公司价值具有显著的正向效应,其在终极控制对公司价值的作用机制中具有显著的中介效应,中介效应占总效应的比例超过50%。基于实证分析结果,最后为优化中国终极控制型公司治理提出了相应的政策建议。  相似文献

Corporate reputation has attracted interest from a wide range of academic disciplines. It is also a growing focus for business and media attention. This paper examines the construct of corporate reputation, first by untangling the terminological problems that have been caused by the interdisciplinary nature of much of the earlier work in the area. The construct of reputation and the allied constructs of image and identity are each reviewed. A structure is proposed in which the three constructs can be seen as labelling different but allied concepts. I then move on to consider how reputation has been measured. The paper uncovers considerable confusion in the use of what might appear to be basic terms and links this to a subsequent lack of grounded measurement tools in the sector, until relatively recently. With a clearer understanding of the construct of corporate reputation and the allied constructs of image and identity, researchers are now well placed to test the relationships widely claimed by practitioners between corporate reputation and other variables such as commercial performance and employee and customer satisfaction. The review ends by illustrating some of the issues that can be assessed from the basis of a clearer conceptualization of reputation and its measurement.  相似文献

 The purpose of this study was to examine the perspective of international comparative research on corporate governance. The problems of stock ownership and corporate control in large corporations are the basis of any discussion on corporate governance. In large corporations of major capitalist countries, the subject of corporate control is changing from a single individual or family to the system of impersonal possession, depending on various factors of stock ownership between corporations and the interlocking directorship. These are the common bases that started the corporate governance problem. After these aspects are recognized, it is important to identify the difference in patterns of corporate governance in each country. First, I clarify the common direction of the development of “stock ownership and corporate control” seen in large corporations of major capitalist countries. Second, I look at the Anglo-American, Japanese, and South Korea patterns, and consider the differences or the distinctiveness of the classification by country in a concrete system of stock ownership and corporate control.  相似文献

我国上市公司治理结构与战略绩效的相关性研究   总被引:36,自引:1,他引:35  
本文研究了我国上市公司治理结构安排的现状与代表公司战略绩效的公司价值指标的关系。在105家上市公司的相关资料基础上,具体考察了公司治理结构的股权结构、高层管理人员持股、两职兼任与分任、董监事会规模等几个方面对于公司相对价值和公司价值成长能力的影响。结果表明,我国上市公司的治理结构与公司战略绩效间存在一定的相关关系,但总体相关度低。这对于从提高公司战略绩效角度认识和改善我国上市公司的治理结构可以提供一些有益的启发。  相似文献
