本研究选择2006年—2011年间78篇西方一流学术期刊上有关企业并购的论文和当今中国十个具有影响力的企业跨国并购案例的公开资料作为研究样本,对所得文本资料进行内容分析,比较西方理论与中国企业对并购动机认识的异同.研究发现:虽然二者都着重从资源基础理论考虑企业并购的动机,但西方理论强调有效利用企业的管理能力、经验和品牌资产等无形资源,而中国企业强调获取外部知识产权、管理经验、技术、品牌和销售渠道等资源;行业冲击理论对中国企业并购动机的解释度高于西方理论,市场势力理论和交易费用理论对西方理论的解释度高于中国企业.  相似文献

民办教育企业处在内涵发展的重要时期,面对内外部冲突无所适从的问题,提出以冲突为无形生产要素加以分析的方法,对原有冲突管理方法进行改造,使其在新兴的民办教育型企业冲突管理方面提升理论认识。以民办高职教育为研究背景,经分析表明,本文提出的冲突资源管理理念在民办教育企业管理者的管理方法优化方面具有先进性。  相似文献

随着新时期信息技术的不断发展及创新,用户对数字信息资源的需求及利用也逐渐提高。然而,信息资源分散性与用户信息需求综合性的矛盾仍然突出,如何提高数字信息资源的利用率,实现信息资源的增值服务以及最大程度的资源共享,消除信息孤岛,成为当下数字信息建设中面临的主要问题。数字信息资源的本质是利用知识组织原理、组织方式方法和技术,对不同渠道、不同类型、不同形式的知识,按一定的逻辑关系进行分解、重组,组织成立体网状、相互联系的知识体系。将知识组织理论用于数字信息资源整合对实现资源整体优化和有效获取、利用具有现实意义。我们以数字信息资源整合研究为出发点,以电子政务为例,从组织原理、组织方式及方法等角度探讨知识组织理论在电子政务信息资源整合中的应用。  相似文献

很多成功的社会企业创建者都有着丰富的先前工作经验,且工作经验对创业过程有着重要的影响。对此,在结合了资源基础理论、知识转移理论的基础上,运用扎根理论,通过收集分析典型社会企业的案例资料,构建出"社会企业创建者的先前工作经验对创业资源整合的影响"的理论框架,并分析了先前工作经验对社会企业创业资源整合的影响机制。研究结果表明,社会创业者的先前工作经验对创业资源的整合能力有正向的影响关系。  相似文献

Psychiatrization, personification and personalization. Individual-centred consulting in organizations The individual-centred consulting already achieved high popularity in supervision and coaching. Based on system theory this article aims to define the functions of individual-centred consulting approaches — such as supervision and consulting — for organizations. The function of person-centred consulting is less an obvious manifest function of human resources development and more an invisible one for isolating conflicts in special interactional contexts. The organization achieves protection of its structure through coaching and supervision, because it is able to isolate its conflicts interactionally and therefore these conflicts remain to a large extent without any consequences for the organization.  相似文献

大量研究显示外资兼并可以促进中国企业出口和技术进步,但是研究结果的可信度却因外资兼并的内生性问题而大打折扣。因为外资极有可能会选择技术水平更高或者更具备出口倾向的企业进行兼并,所以无法确定企业出口行为和技术进步是由外资进入而导致的还是由企业自身所具备特征和发展战略而导致的。基于上述问题,本文采用准实验设计法中的倾向指数再加权估计法克服外资兼并的内生性问题,使用2001年—2007年中国企业层面数据,针对外资兼并与企业出口行为和技术进步之间的实际关系进行实证检验,并从企业异质性的角度进行分析。研究结果表明,外资兼并确实会对企业出口行为和技术进步产生影响,并且外资参与程度会对企业出口和技术进步产生差异性的影响,来自国家统计局的最新宏观数据也验证了本文的研究结论。  相似文献

Organizational decision making is dominated by teams. When an important decision is required, a team is often formed to make it or to advise the individual decision maker, because a team has more resources, knowledge, and political insight than any one individual working alone. As teams have become geographically distributed, collaboration technology has come to play an important role in such collective decision making efforts. Instant messaging (IM) is an increasingly prevalent workplace collaboration technology that enables near‐synchronous text exchanges on a variety of devices. We examined the use of IM during face‐to‐face, telephone, and computer‐mediated team meetings, a practice we call “invisible whispering.” We introduce Goffman's characterization of social interaction as dramatic performance, differentiable into “front stage” and “backstage” exchanges, to analyze how invisible whispering alters the socio‐spatial and temporal boundaries of team decision making. Using IM, workers were able to influence front stage decision making through backstage conversations, often participating in multiple backstage conversations simultaneously. This type of interaction would be either physically impossible or socially constrained without the use of IM. We examine how invisible whispering changes the processes of collaborative decision making and how these new processes may affect the efficiency and effectiveness of collaborative decision making, as well as participation, satisfaction, relationships among team members, and individual attention.  相似文献

产业集群中隐性契约的存在抑制了集群合作中机会主义行为的产生,使得集群企业间的知识共享合作比一般企业更具有稳定性。本文基于产业集群隐形契约约束,根据Hotelling博弈模型,分阶段对集群企业间知识共享伙伴的选择机制进行研究。研究表明,早期建立更为广泛的知识共享伙伴合作关系对集群企业的长远发展较为有利,集群企业总是更愿意与网络权力较大的企业形成知识共享关系,隐形契约的约束有利于产业集群建立更为稳定的知识共享关系网络,提升集群企业知识收益,有助于产业集群的良性发展。  相似文献

Virtual and Extended enterprises share a large amount of characteristics. Especially when it comes to the process of their foundation either one is well advised to base itself on a strong network of reliable partners. In this network each of the joining companies that form the Virtual enterprise can concentrate on their core competencies, giving the whole enterprise the chance to be extremely efficient. Bringing together the different partners and managing them is seen as being one of the biggest challenges of the Virtual enterprise. Therefore some partners will have to focus on those managing tasks. It might as well be their responsibility to ensure that no legal conflicts in regard to the foundation, dissolving, production and related topics emerge. This being especially difficult because the efficiency of a Virtual enterprise is strongly dependent on the looseness of its structure. What conflicts can appear in the described environment and how they might be solved is the focus of this article. It will be pointed out that the emergence of Virtual and Extended enterprises should be supported by general terms and conditions. This terms and conditions should be adjustable, offer the chance to establish a legal framework fitting just perfectly to the intended purpose to continuously create, adjust or dissolve Virtual enterprise. As a matter of fact a certain degree of commitment can positively expand the co-operation in a Virtual enterprise which is mainly based on trust.  相似文献

Cross-border mergers and acquisitions (M&As) have gained in popularity over the last decade. However, research on this type of diversification strategy has not kept pace with this trend. While there is considerable research in the area, it is unfortunately fragmented, leaving gaps that need to be addressed. Herein, we examine the theoretical perspectives and research findings on cross-border M&As from three perspectives: cross-border M&As as a (1) mode of entry in a foreign market, (2) dynamic learning process from a foreign culture, and (3) value-creating strategy. Current empirical research on this topic is also tabulated and grouped by theoretical stream to indicate major findings. Most importantly, we identify gaps in the literature and highlight five important research issues that provide directions for future research.  相似文献

Knowledge is a vital source of competitive advantage and renewal for contemporary organizations. However, to date, few studies have scrutinized how mergers and acquisitions (M&As)—processes dependent on knowledge sharing—offer a valuable inter-organizational context through which to understand the attainment of customer knowledge sharing following M&As. Applying an integrated theoretical perspective from customer relationship management and M&A performance research, we study a Chinese–Finnish acquisition and customer firms of the acquired party across four advanced Western countries. We find that customer knowledge sharing is an active relationship management process that relies on the factors of customer dedication-based motivation vs. customer concerns about M&As to maintain relationships after acquisitions. In addition, and more importantly, we find that the promise management mechanisms—making promises, enabling promises, and keeping promises—of the M&A parties reinforce the motivational factors to maintain customer knowledge sharing in cross-border M&As. We propose a conceptual framework of customer knowledge sharing in cross-border M&As.  相似文献

Cross-border mergers and acquisitions (M&As) are highly emotional events for the employees of involved organizations. The strength and directionality of emotional reactions can result in positive or negative employee outcomes contributing to success or failure of cross-border M&As. Existing studies on emotions and cross-border M&As have identified various underlying mechanisms and factors that influence employee emotions in cross-border M&A activities, leading to a fragmentation of current research on this topic. In this article, we systematically review the interdisciplinary literature on the role played by emotions in cross-border M&As by analyzing a sample of 78 articles published between 2000 and 2021. We contribute to the current literature by (1) providing a holistic and deeper understanding of the role played by emotions in cross-border M&As; (2) mapping the current state of the interdisciplinary literature on emotions and cross-border M&As; and (3) developing a multi-level framework, and identifying key theories and emerging themes to be examined in future studies.  相似文献

新兴经济体企业在跨国并购中如何根据不同类型来源国劣势来做出合法化战略选择?通过对吉利和万向六次跨国并购的多案例分析,本文打破现有文献关于"来自相同国家的企业面临相似来源国劣势"这一"同质化假定",把来源国劣势构念化为制度维和产品维。通过归纳式案例研究,本文发现,对于产品维的来源国劣势,新兴经济体企业倾向于通过组织制度设计、资源协同和声誉重构等合法性修复战略进行应对。对于制度维的来源国劣势,新兴经济体企业倾向于采用制度遵从、组织制度设计、资源协同等合法性获取战略来应对。当面临产品维和制度维双重劣势时,新兴经济体企业综合运用制度遵从、组织制度设计、资源协同、声誉重构等合法性获取和合法性修复战略,重点强调沟通协调这一合法性维持战略来应对。这些发现贡献于新兴经济体企业在跨国并购,乃至于更广意义国际化的文献,并对中国企业跨国并购过程有一定的启示意义。  相似文献
