不同主体股权转让问题探讨

在法律实践中,隐名投资作为一种非常规的投资方式,其所引起的纠纷除了涉及隐名股东与名义持股人内部协议履行的问题,亦有隐名股东、名义持股人因公司经营或股权利益分配导致的与公司或第三人之间的纠纷。本文基于最新的《公司法》司法解释三,对隐名股权的转让问题进行分析;同时,股权基于其财产权的属性可作为夫妻之间的共同财产,但法律和司法解释均未对夫妻之间在离婚阶段难以协商一致时如何认定股权归属和收益归属问题进行规定,本文将对若干可能情况下的该问题进行法理上的阐释。     

Good Gay Buddies for Lifetime: Homosexually Themed Discourse and the Construction of Heteromasculinity Among Chinese Urban Youth

Starting as an Internet meme, the homosexually themed gao-ji discourse recently became popular among Chinese urban youth in describing intimate relationships among heterosexual men. Positioned within a body of scholarship on the interplay between language, homophobia, and the construction of heteromasculinity, this article suggests that the gao-ji discourse manifests a form of male homosociality, through which new boundaries of Chinese heteromasculinity may be renegotiated. Based on qualitative interviews with college students, the article first tracks the genealogy of the gao-ji discourse in the wake of China’s booming Internet culture. The main body focuses on unpacking the daily use of the gao-ji discourse, with an attention to the two latent functions it serves (i.e., expanding heteromasculine behaviors and reiterating heteromasculine identities). In conclusion, I argue that the prevalence of the gao-ji discourse mainly resolves straight men’s anxieties against the background of growing public awareness of homosexuality; therefore, it cannot necessarily translate into social acceptance of homosexuality.     

A cyclical view of the relationship between corporate governance and strategic management

The vast majority of research on the relationship between corporate governance and strategic management focuses on the impact of corporate governance on strategic management. In this article we propose a cyclical model, highlighting that strategic decisions can also affect corporate governance through shaping firm ownership structure. We discuss the impacts of strategic decisions on firm ownership structure and corporate governance in the contexts of publicly traded firms, private firms, and the privatization of state-owned enterprises. We hope that our cyclical model can promote researchers to develop a more complete view about the relationships between strategic management, ownership structure, and corporate governance.     

Moment‐Independent Sensitivity Analysis Using Copula

In risk assessment, the moment‐independent sensitivity analysis (SA) technique for reducing the model uncertainty has attracted a great deal of attention from analysts and practitioners. It aims at measuring the relative importance of an individual input, or a set of inputs, in determining the uncertainty of model output by looking at the entire distribution range of model output. In this article, along the lines of Plischke et al., we point out that the original moment‐independent SA index (also called delta index) can also be interpreted as the dependence measure between model output and input variables, and introduce another moment‐independent SA index (called extended delta index) based on copula. Then, nonparametric methods for estimating the delta and extended delta indices are proposed. Both methods need only a set of samples to compute all the indices; thus, they conquer the problem of the “curse of dimensionality.” At last, an analytical test example, a risk assessment model, and the levelE model are employed for comparing the delta and the extended delta indices and testing the two calculation methods. Results show that the delta and the extended delta indices produce the same importance ranking in these three test examples. It is also shown that these two proposed calculation methods dramatically reduce the computational burden.     

低渗火山岩气藏可动流体T2截止值实验研究

使用核磁共振岩样分析技术与离心实验，确定出吉林、大庆和新疆3个地区低渗火山岩气藏储层标定可动流体T2截止值的合适离心力为2.76MPa，该离心力同时也是储层可动用流体对应的下限离心力。对3个地区102块不同岩性火山岩岩芯核磁实验研究表明：低渗火山岩气藏储层可动流体T2截止值分布范围很宽，不同地区和不同岩性火山岩储层T2截止值差别很大，102块岩芯T2截止值平均值为49.31ms，大于低渗砂岩但小于碳酸盐岩储层T2截止值；低渗火山岩T2截止值随岩芯渗透率的变化差异较大，与储层孔隙空间类型及孔喉连通性等因素密切相关。3个地区火山岩储层T2截止值从大到小依次为大庆、吉林和新疆火山岩，其中大庆流纹岩T2截止值平均值最大并且分布范围最宽，新疆玄武岩和安山岩最小。

康熙、雍正、乾隆三帝把廉政建设作为巩固皇权专制统治的一项重要内容,在继承明代廉政基本制度基础上,并加损益,形成了独具特色的廉政体系,有效地推动了当时社会经济的发展。康雍乾廉政建设的首要特色是"乾纲独断",维护皇权的绝对权威;康雍乾廉政建设的另一特色,在于将吏治与民生联系在一起;制度的创制和改革也是康雍乾三帝廉政建设的一道风景。     

河北省高校周边文化圈建设研究

建设河北特色文化大省，实现文化大发展、大繁荣，是时代的课题。高校和地方文化各自独立发展，缺乏竞合的现状是制约河北文化发展的一个难题。高校周边文化圈建设是解决这一难题、建设文化特色大省的有效途径，河北省政府牵头，协调高校，以地方文化为主体，采取以点带面的形式，逐步实现文化圈的建设。     

Hazard rate ordering of the second-order statistics from multiple-outlier PHR samples

In this paper, we compare the hazard rate functions of the second-order statistics arising from two sets of independent multiple-outlier proportional hazard rates (PHR) samples. It is proved that the submajorization order between the sample size vectors together with the supermajorization order between the hazard rate vectors imply the hazard rate ordering between the corresponding second-order statistics from multiple-outlier PHR random variables. The results established here provide theoretical guidance both for the winner's price for the bid in the second-price reverse auction in auction theory and fail-safe system design in reliability. Some numerical examples are also provided for illustration.

Fitting competing risks data to bivariate Pareto models

This paper revisits two bivariate Pareto models for fitting competing risks data. The first model is the Frank copula model, and the second one is a bivariate Pareto model introduced by Sankaran and Nair (1993 Sankaran, P. G., and N. U. Nair. 1993. A bivariate Pareto model and its applications to reliability. Naval Research Logistics 40 (7):1013–1020. doi:10.1002/1520-6750(199312)40:7%3c1013::AID-NAV3220400711%3e3.0.CO;2-7.[Crossref], [Web of Science ®] , [Google Scholar]). We discuss the identifiability issues of these models and develop the maximum likelihood estimation procedures including their computational algorithms and model-diagnostic procedures. Simulations are conducted to examine the performance of the maximum likelihood estimation. Real data are analyzed for illustration.
