审计委员会多重任职与审计收费相关性研究——来自2007-2010年中国A股上市公司的证据

基于2007—2010年间我国A股上市公司的经验数据，分析了审计委员会多重责任与审计收费的关系。研究发现，审计委员会成员的多重责任与审计收费呈负相关关系，对审计委员会起着决定性作用的审计委员会主席，其多重责任对审计收费也有抑制作用。在此基础上，对我国的审计委员会制度提出了相应的建议。     

Computerized Immediate Feedback Increases Product Recall Efficiency Due to Interlocking Contingencies in Food Manufacturing

Food manufacturing companies are challenged with tracking their products so that the company will be able to remove that product from circulation quickly and effectively in the event of a product recall. The accuracy of a recall is dependent upon the accuracy of a product selected for order fulfillment, with the correct product going to the correct store. An integrated solution using wireless handheld computers was programmed to provide immediate visual and audio feedback to the order selectors, in order to prevent errors in order selection. For each case selected, vital information was archived to databases in real-time, which in turn, allowed the company’s safety manager to perform quick and accurate product recall tracking in mock recall drills and state inspections. Results were discussed in terms of the expanding the role of the Organizational Behavior Management professional who addresses operational and ethical issues associated with technologies for better consumer safety.     

Process Safety Behavioral Systems: Behaviors Interlock in Complex Metacontingencies

ABSTRACT

This paper seeks to identify behavioral components active in process safety. Three types of behavior classes are identified as contributors to process safety: task-specific behaviors, safety-directed behaviors, and behaviors associated with situational awareness. Behavioral systems analysis is used to provide a framework for identifying the cross-functional interlocking behavioral contingencies that can, even over a period of years, contribute to process safety incidents. Leadership behaviors are also identified that can create the context in the form of metacontingencies that maintain these interlocking contingencies.     

Representing Preferences with a Unique Subjective State Space

We extend Kreps' (1979) analysis of preference for flexibility, reinterpreted by Kreps (1992) as a model of unforeseen contingencies. We enrich the choice set, consequently obtaining uniqueness results that were not possible in Kreps' model. We consider several representations and allow the agent to prefer commitment in some contingencies. In the representations, the agent acts as if she had coherent beliefs about a set of possible future (ex post) preferences, each of which is an expected‐utility preference. We show that this set of ex post preferences, called the subjective state space, is essentially unique given the restriction that all ex post preferences are expected‐utility preferences and is minimal even without this restriction. Because the subjective state space is identified, the way ex post utilities are aggregated into an ex ante ranking is also essentially unique. Hence when a representation that is additive across states exists, the additivity is meaningful in the sense that all representations are intrinsically additive. Uniqueness enables us to show that the size of the subjective state space provides a measure of the agent's uncertainty about future contingencies and that the way the states are aggregated indicates whether these contingencies lead to a desire for flexibility or commitment.     

From local champions to global players: A long-term perspective on Swiss companies’ connections across territorial scales

Corporate interlocking at the national and transnational scale has received substantive scholarly attention. Less is known about companies’ ties to the cities and regions in which they have their seats. In this paper, we conduct a long-term analysis of the multilevel ties that companies maintain with the local and the national context they are embedded in. To do so, we adopt a positional approach and identify the directors of the major companies in the three largest Swiss cities (Basel, Geneva, and Zurich) and study company directors’ ties to local and national organizations in seven benchmark years between 1890 and 2020. Our analysis documents the rise and fall of company directors’ ties to national organizations over the course of the 20th century, and it highlights the continued persistence of companies’ ties to the local level and their region until the new millennium, when companies’ ties with national and local organizations vanish, coinciding with the transnationalization of company boards.     

基于连锁董事对公司治理与企业绩效的影响研究

连锁董事是指同一董事同时在两家或多家企业的董事会中任职。这一现象在我国上市公司中极为普遍,然而,我国学术界对其展开的研究却极其匮乏。本文以我国转型时期经济环境为背景,以我国上市公司间的连锁董事现象为线索,通过对连锁董事的公司治理与绩效影响进行理论和实证研究,验证和拓展了公司治理理论。     

Preference for Flexibility in a Savage Framework

We study preferences over Savage acts that map states to opportunity sets and satisfy the Savage axioms. Preferences over opportunity sets may exhibit a preference for flexibility due to an implicit uncertainty about future preferences reflecting anticipated unforeseen contingencies. The main result of this paper characterizes maximization of the expected indirect utility in terms of an ‘Indirect Stochastic Dominance’ axiom that expresses a preference for ‘more opportunities in expectation.’ The key technical tool of the paper, a version of Möbius inversion, has been imported from the theory of nonadditive belief functions; it allows an alternative representation using Choquet integration, and yields a simple proof of Kreps' (1979) classic result.
