学术自由及其限制古典学术自由观批判

古典学术自由理念是西方启蒙理性的产物,它建基在三大理论支点之上,即"意见自由市场"、"价值中立"及"学者是真理的代言人".然而,由于这三大理论预设本身难以自洽,故古典学术自由观把学术自由作为一项绝对权利,排斥任何形式的社会干预的观点是有缺陷的.     

考虑线下权力结构的制造商线上销售模式选择研究

在线下垂直实力对等、制造商主导和实体店主导三种渠道权力结构下，构建制造商、实体店和电商之间的博弈模型，探讨线下渠道权力结构与制造商线上销售模式的匹配关系。研究结果表明：（1）当电商要求的佣金比例较小时，在不同的线下渠道权力结构下，制造商都应该选择线上代销模式；而当电商要求的佣金比例较大时，在线下垂直实力对等结构下，制造商应该选择线上转销模式，而在制造商主导和实体店主导结构下，制造商应该选择线上代销模式。（2）当制造商选择线上转销模式时，在线下制造商主导的结构下，制造商给予实体店的批发价格最大，在垂直实力对等结构下次之，在实体店主导结构下最小。然而，线下渠道权力结构的差异并不会影响制造商给予电商的批发价格。（3）当制造商选择线上代销模式时，在线下制造商主导结构下，线下销售价格最高；在线下垂直实力对等结构下，线上销售价格最高。     

我国管理层收购的动机偏离及其理论解释

作为一种新型的并购工具,我国的管理层收购在实行了一段时间以后,大型国有企业管理层收购被叫停。本文认为我国管理层收购不是从企业发展战略的角度实施,而作为国有企业产权改革的一种形式,管理层收购更多的是一种投机活动,即管理层收购的动机存在由战略收购到投机的偏离,造成国有资产的流失。本文从代理理论和价值低估理论出发,认为国有企业对管理层的激励机制不完善、待遇不足是动机偏离的内因,而企业价值能够被低估是动机偏离的诱因,究其实质则是由于我国国有企业产权不清晰、金融市场和价格形成机制不健全、法律法规不完善等原因造成的,进而得出在我国目前的条件下不宜大规模实行管理层收购。     

国内行政主体理论的创立及其变迁

国内行政主体理论的变迁可分为初创期、发展期、成熟期和转型期4个阶段。国外行政主体理论的引入在前3个阶段为国内行政主体理论的创立和发展起到了重要作用。然而国内行政主体理论从一开始就与国外行政主体理论存在较大背离，因而它虽然在我国行政法学中占有重要地位，但随着社会变迁和理论发展，其固有的内在缺陷也逐渐被发现，并由此步入了转型期。

Mental health NGOs in Western Europe are increasingly managed by contractual audit procedures. This article concerns how contractual audit and its emphasis on effectiveness of care impact on the practices of long‐term mental health rehabilitation. To demonstrate this, a case study of a Finnish NGO that provides supported housing is presented. The study looks at how service purchasing practices, as stated in the contract between the municipality and the NGO, are reflected in the meetings among practitioners. Documentary and meeting data were utilised together with Mitchell Dean's notion of technologies of agency. It was found that practitioners actively sought to show the effectiveness of their everyday work in terms of contractual audit by demonstrating both the economic and progressive aspects of care. Thus, professional competency in mental health rehabilitation appears to entail both the skills of care interventions and the ability to perform these interventions as efficient and financially accountable activities.     

Mobility and Privilege Within Queer Studies and University

In this essay, the author considers how classist divisions present within queer studies may well be exacerbated by the institutionalization of queer studies within university. In particular, she examines the class privilege that attends both queer theory's and university's deployment of travel metaphors. In both cases, the language of travel is the potentially empowering language of intellectual agility and social mobility. Importantly, though, both queer theorists' and university administrators' employment of travel metaphors often serves to reaffirm cultural hegemony, specifically to sustain rather than to examine and combat social oppression. This sad irony is particularly apparent when one compares university representations of commuter and residential students. Thus, the question that faces universities is how to keep queer studies critically queer so that universities can recognize and address the various forms or models of social mobility that are present on their campuses, commuter as well as residential.     

有效抑制道德风险的融资结构

着重从道德风险有效抑制的角度探讨融资结构问题，得出两个主要观点：融资结构中若包括扮演积极监督者角色的大股东、债权人及持有一定数量公司股票的经管人员，将会有效地抑制由股权融资引起的企业经营管理者的道德风险行为；债权人可以通过与受信主体的长期合作，或加入到受信主体的董事会，来抑制由债权融资引起的股东及经营管理者的道德风险行为。基于观点，采用Jensen and Meckling分析所有权结构时的方法设计了一个最佳融资结构。     

Agency: The Internal Split of Structure

In this article I first examine the ways in which the dual terms of structure and agency are used in sociological theories. Then, relying on Lacan's notions of split-subject, the formula of sexuation, and forms of discourses, and Laclau's theory of ideological hegemony, I argue that agency in most current sociological formulations is but a posited other of the structure that dissolves if examined closely; it is similar to the Lacanian fantasmic object. To resolve the fundamental paradoxes in structure-agency theories, I reformulate structures as paradoxical, incomplete, and contingent symbolic formations that are always partial and unstable due to their inclusion and exclusion operations. Consequently, social transformational agency consists in the structural inconsistencies that open structural gaps available to social actors. As a result, agency can be recognized in two moments conceived as two symbolic gestures. From this perspective, agency as such is always a possibility qua potential and its efficacy is always retroactively recognized-actualized from within a new social structure or symbolic order.     

论代理问题与公司治理安排

本文在综述前人公司治理理论的基础上，分析了公司代理问题和世界上现有的三种主要公司治理安排。我们认为任何有效的公司治理安排必须考虑一、该国的文化传统和社会现实；二、构成公司治理的权力基础；三、股东的法律保护和大股东(债权人)在公司治理中的作用。
