经营判断法则的起源肇因于19世纪美国社会中的自由放任主义与开放主义的发达。经营判断法则一方面要求公司管理层必须为股东利益行事,同时又承认管理层在经营判断法则的庇护下可以逃脱股东的苛责。这看似有点自相矛盾的法律创造,恰恰昭示着经营判断法则的本质乃是法院自制的一项声明,也是对董事会主导的现代公司自治模式的默许,其功能是尊重董事会的权力,防止法院对公司经营活动的不当管制。 相似文献

After the fall of state communism, the business press in Poland has become an active image designer for people involved in management. Shaping the stereotypes about the market, enterprises and management, it also has an effect on gender related stereotypes and images. A study of a widespread Polish business magazine reveals a pretty flat picture: women managers are typically portrayed in traditional female social roles and the images of men are stripped of feelings and individuality. The purpose of this paper is to propose a new framework: SCOPE - to postulate strategies for Small and Medium Enterprises (SMEs) to export, compete, and succeed in the global market. SCOPE stands for Strategies to analyze the Challenges, Opportunities, and Problems to succeed in Exporting. A multiple case study method was employed based on semi-structured interviews with senior managers of different SMEs from three European countries. It was found that SMEs face internal and external challenges. This is complemented by a Pentagon model. In the context of the United Airlines crisis, this study investigated the relationships among customers’ ethical judgment, trust and distrust toward United Airlines, and post-crisis behavioral intentions. Results from an online survey (N = 579) demonstrated that customers’ negative ethical judgment was positively associated with the level of trust and negatively predicted their distrust toward the corporation. Distrust had a bigger impact on stakeholders’ behavioral intentions such as information seeking, mobilizing, and consulting than trust. Findings indicated the important role of customers in corporate crisis management. Theoretical and practical implications were discussed. 相似文献

The proliferation of Web-based information sources and social media draw firms' attention to these channels as sources of competitive intelligence (CI). To date, research has focused mainly on information collection techniques rather than on CI uses and its influence on firm performance. We define CI embeddedness as the extent to which management and employees incorporate CI in daily routines, so that actionable knowledge is transferred throughout the organization. A survey of 124 decision makers reveals positive impact of Web CI sources as well as alliances with information providers on CI embeddedness. Furthermore, while CI embeddedness shows no direct influence on firms’ performance, it has a mediated effect on performance through customer satisfaction. 相似文献

Re-engineering global business processes requires innovative methods for inter-organizational learning. This article describes and analyses an experimental telepresence process simulation that was applied to develop and train the cross-site New Product Introduction process of a global telecommunication company. Interactive, real-time audio and video connections over the Internet supported the process-oriented discussion between two groups in distant locations. Identical visual process charts and other information, projected on the walls of the two auditoriums, helped the two teams to discuss and understand the process. Audibility of the discussion was crucial for learning, but the visual 'talking heads' of the participants distorted concentration. Facilitation at both ends and local simulation periods smoothed the interaction and the imbalances between the locations. The simulation achieved positive effects in immediate learning and in motivation for change, although the telepresence caused some limitations. The ultimate goal, the feeling of real presence, was not reached. But when time gets more expensive, and travelling less preferable, telepresence simulation can be a feasible group-mode e-learning method for inter-organizational learning. 相似文献

This paper analyses the factors determining the establishment of backward linkages and their key features once established. To carry out our analysis, we exploit an original survey conducted in 2011 on roughly 1500 investors based in Vietnam. We show that some characteristics of the investor firm, including size, productivity, experience and autonomy in decision-making, affect the capacity of linkages to create a larger network of local suppliers. In addition, we show that it is the provision of a good investment climate, and more importantly of key business support services, that mainly influences the capacity of investors to trigger knowledge and other key resources’ transfer to their local suppliers. 相似文献
