章程股权转让限制的比例原则审查

我国《公司法》对有限公司章程进行股权转让限制做出了授权性规定,但是却没有明确其合法性范围,实践中存在大股东利用资本多数决原则修改章程,侵害股权自由转让权利的现象。实务界对于限制措施的合法性分析存在滥用人合性、分类不合理等问题,理论界虽然提出了多种学说,但是却仍存在正当性不足、分类标准模糊和可操作性差等问题。比例原则审查由其四个子原则构成,具有较强的逻辑性和可操作性,能够充分保证限制措施与人合性保护目的之间的均衡。适用比例原则进行审查符合该原则的本质特征,具有可行性。比例原则能够从手段与目的关联性、限制强势主体滥用权利的角度,对其合法性展开审查。     

他者话语的反思：欧美学界关于中国海外藏人研究评析

“西藏问题”,尤其是中国海外藏人问题,是我国党和政府始终关切的重要问题。自1959年西藏叛乱以后,中国海外藏人问题在一些西方国家备受关注,也成为欧美学者们竞相展开调查研究的重要领域,关于这一主题的研究涉及了国际关系、人口迁移、国际援助、难民政策、身份政治、文化传播等诸多领域。本文将在对大量欧美学者的相关专著与论文进行整体把握的基础上,厘清欧美学界海外藏人研究的基本特点,对欧美学界的相关研究状况进行分析,并重点分析了欧美学者对中国海外藏人社区的实地研究,指出许多研究过分服务于政治目的,或研究中情绪色彩过重,或关注点过于集中于中国海外藏人的处境状况。因此,国内的相关研究应发挥本土优势,关注中国海外藏人生活境遇,将海外藏人研究与国内藏族研究相结合,构建起更加完整的藏族研究体系。     

我国独立董事独立性的两个问题

独立性是独立董事制度赖以建立和存在的基础。影响和制约我国独立董事独立性的因素主要有独立董事制度缺乏法律明确定位、独立董事任职条件不严密、选任程序不合理、行权不畅、报酬问题以及任期问题。应当明确独立董事的法律定位、建立独立董事控制下的专业委员会、确立独立董事采取公告与回避制度、充分发挥声誉激励作用、建立独立董事自律组织自律规范独立董事行为以及营造良好的外部环境和机制。     

当代社会思潮对青年的影响——基于对近十年相关研究的述评

研究社会思潮对青年的影响对于新形势下使青年树立和践行社会主义核心价值观具有重要意义。分析近10年的相关文献后发现,当代中国社会对青年有较大影响的思潮主要有新儒家思潮或文化保守主义思潮、实用主义思潮、自由主义思潮、历史主义思潮、新左派思潮、民族主义思潮、民主社会主义思潮和民粹主义思潮。此外还存在诸如后现代主义思潮、女权主义思潮、反全球化思潮、消费主义思潮等对青年影响力稍小但绝不容忽视的思潮。当代社会思潮深刻地影响了青年的信仰和价值观,导致青年政治意识表达方式变迁,影响青年文化体系的形成和变迁,而在这些过程中青年接受社会思潮影响的方式也在发生着变化。社会思潮影响下的青年思想引领主要有思想绝缘法、对象研究法、武器强化法和能力培养法。现有关于社会思潮对青年影响的研究存在着过分侧重定性研究和消极影响、到底如何影响是"黑箱"、研究成果呈现结构失衡等缺陷,需要针对这些缺陷寻找相应的研究进路。     

Introduction: decolonising the “undecolonisable”? Portugal and the independence of Lusophone Africa

In 2015, Lusophone Africa celebrated 40 years since independence. Portuguese colonies in Africa became independent in the aftermath of two orders of interlinked events. The first was the fierce-armed opposition to the colonial order – through the action of nationalist movements and nationalist thinkers such as Amílcar Cabral – which escalated after 1960 when French and English colonies in Africa were achieving independence. The second was the Carnation Revolution, in 1974, which, despite having taken place in Lisbon, had powerful reverberations across Portuguese Africa. Here, I argue that the Carnation Revolution was a by-product of the emergence of nationalist movements in Africa, when it became apparent that popular uprisings there could not be won by conventional armed struggle. Or, to put it slightly different, anticolonial struggle in Africa opened the way not only for the end of Portuguese rule on the continent, but also for the demise of dictatorship in Portugal itself.

20世纪30年代中国民族主义思潮的高涨,不免与五四新文化运动以来占据思想界主流位置的种种世界主义的主张形成一种紧张的对峙.《独立评论》围绕"如何树立民族信心"的讨论,正是这一"紧张对峙"的反映.通过对这一讨论的内容、背景及其与"本位文化"论战的关联等多方面的梳理,试图展示以胡适为代表的"西化"派学人在国难日渐深重、民族主义情绪日渐高昂的现实面前的坚持、妥协和困窘,以及20世纪30年代中国思想界各种思潮既对立又相通的生动复杂的面相.     

Research Subject Advocate: A New Protector of Research Participants

In 2001, the National Center for Research Resources (NCRR) directed the 78 General Clinical Research Centers (GCRC) to develop a Research Subject Advocate (RSA) position. The RSA would report directly to the Principal Investigator (PI) of each GCRC and assure compliance of studies conducted on the GCRC with federal regulations and policies. Seven RSAs agreed to be interviewed about their new role. Website documents, electronic correspondence, and presentations at the first annual national meeting of RSAs were scrutinized using discursive analysis to shed light on this new organizational form and its potential for increased protection of human research participants. The RSA role actualizes the ethical principles of respect for persons, justice, and beneficence that are the foundation of the protection of research participants. The results also reveal the regulatory, institutional, collegial, and personal resources and barriers that assist the RSA in the successful implementation of the RSA role. In addition, issues important to the RSAs are described.
