论机构股东产权契约特征及其对公司治理的影响

机构股东产权契约是机构股东的各产权主体按照平等、自愿和公平等契约原则就产权的界定、调整、分配、转让与履行达成的契约关系。机构股东的产权契约具有节约交易费用的代理优势,但代理链过长会增加交易费用。机构股东产权契约对公司治理具有重要影响。     

论电子合同成立的时间与地点

承诺生效的时间与地点就是合同成立的时间与地点。由于电子合同既涉及虚拟空间也涉及现实空间,而在虚拟空间目前尚不存在网络法与虚拟空间司法机关的情况下,应将电子合同的成立时间与电子合同的成立地点分别认定。电子合同的成立时间应为承诺的数据电文进入要约人在虚拟空间中的支配范围的时间,除非要约人和承诺人另有约定;电子合同的成立地点应为要约人在现实空间中的营业地、惯常居住地等与电子合同具有最密切联系的现实空间的地点。

试论为第三人利益合同的特征

为第三人利益的合同是对合同相对性原则的突破,是符合现代经济社会需要和契约精神的体现。其显著特征是合同的给付是针对第三人,且第三人只享受权利不承担义务。第三人享有债务履行的独立请求权、受领权、救济权等独立权力。     

合同成立与生效之比较分析及立法完善

合同成立与合同生效具有紧密的联系,同时也有较大的差别,应当正确区分,并建 立合同成立制度和合同生效制度,同时需对《合同法》作必要的相关完善。     

Brief Report: Thin Slices of Racial Bias

The present work examined the detection of racial bias through thin slices of nonverbal behavior. Thirty Black and 30 White American judges rated the nonverbal behavior displayed by White individuals from 20-seconds of silent videotape of an interaction with either a Black or a White confederate. Correlations between judges nonverbal ratings and targets scores on a response latency measure of racial bias (i.e., Implicit Association Test, IAT) as well as on a self-report racial bias measure (i.e., Affective Prejudice Scale) were obtained. Results revealed that relative to White judges, Black judges nonverbal behavioral ratings were better predictors of both White individuals IAT and explicit racial bias scores, but only if those targets were engaged in an interracial dyad. The results are consistent with recent research finding that subtle forms of racial bias leak through nonverbal behavior, as well as with work noting the predictive accuracy of judgments made from thin-slices of nonverbal behavior.Jennifer A. Home Bias or Corporate Loan Market Integration and Financial Globalization

Though the paper focuses on pricing, as background I provide some evidence about loan flows across markets in the form of borrowers' and lenders' propensity to issue outside their natural home market. The data show that borrowers stay home when they can and that they tend to issue in Europe when they must issue abroad. That is, borrowers domiciled in one of the major markets (Europe, the United States, and Asia) almost always issue in that market, whereas borrowers in more remote locations usually issue in the European market. For example, borrowers from Latin America overwhelmingly issue in Europe rather than in the U.S. market.

技术合同作为技术成果商品化的法律形式,有着特定的范式、内容和要求.以经济学的视角对其范式、内容进行分析与思考有着重要的现实意义.     

对“以贷还贷”借款合同效力的思考

中国人民银行在《关于借款合同有关法律问题的复函》中对“以贷还贷”借款合同所作的有效认定,违背了《商业银行法》和《借款通则》有关借款规定的基本精神,该行为实施的后果不仅会严重侵害担保人的合法权益,而且为金融监管机构对商业银行信贷资产的有效监管设置了巨大障碍,干扰了国家货币政策的正确制定,纵容了商业银行的短期经营行为。在银监会加大对银行业监管力度的今天,我们应当通过立法形式对“以贷还贷”借款合同的效力作出否定性规定,以使商业银行的贷款业务健康地向前发展。
