论合伙的第三民事主体资格

关于合伙的法律地位之争由来已久,学者争论的焦点集中在合伙是否符合传统的民事主体的建构。作者认为,是否确立合伙的法律资格取决于其契机是否已经出现。为澄清合伙的法律地位,我们首先考察了民事主体的历史逻辑,以为合伙法律上的“正名”提供法理依据;其次讨论了合伙的发展过程,表明目前组织体形态的合伙在经济生活中具有不可替代的作用;最后通过对合伙的实体性进行法律分析,指出合伙是与自然人、法人不同的一种社会存在形态,确认其第三民事主体资格是必然的。

On the tertiary civil subject's qualification of the partnership

The debate about the legal status of the partnership has been lasted for a long time,the debate of the scholars focus on whether partnership be accorded with the structure of the traditional civil subject.The author thinks that the establishment of the legal qualification of the partnership depends on whether the opportunity has emerged.In order to clarify the legal status of the partnership,we first reviewed the historical logic of the civil subject,to provide juristic basis for the rectification of the name of partnership;then discussed the developing process of the partnership,prove that partnership with the present form takes an irreplaceable part in the economic life;lastly through the legal analysis of the substantiality of the partnership,pointed out that partnership is an existing social form different from the natural person and juridical person,the confirmation of its tertiary civil subject qualification is inevitable.
