| 摘 要： | 合伙是第三类民事主体 ,有契约性和组织性的特点 ,商事合伙与民事合伙在现实中很难分清他们的界限。我国现行立法在这方面存有明显的漏洞 ,其原因在于没有坚持民商合一的立法传统。对法人能否成为合伙人 ,立法界学界都有分歧 ,但是从法理及经济活动的实践分析 ,应认可法人的合伙人的地位和资格。

| Abstract: | Partnership is the third civil main-body with the characteristics of contract and organization.It is difficult to draw a clear line of demarcation between commercial partnership and civil partnership.In China's legislature,obvious loopholes exist in this field,because there is no legislative tradition which combines civil partnership with commercial partnership.In the legislative world and educational circles there are differences of opinion whether corporation can be a partner or not but we should acknowledge the corporation's status and qualitication of partners.- |
